The above Purchase Order is issued for the professional engagement of a qualified Journalist to perform media and reporting services exclusively within the jurisdiction of India Mumbai. All deliverables, on-site work, and editorial outputs referenced in this Purchase Order shall be completed at locations within the city of India Mumbai unless otherwise agreed in writing by both parties.

Terms and Conditions

1. Scope of Engagement: This Purchase Order authorizes the Journalist identified herein to carry out the specific reporting, writing, and broadcast services enumerated in the table above. The Journalist shall adhere to the Code of Ethics of the Press Council of India and shall maintain professional journalistic standards throughout the duration of the assignment in India Mumbai.

2. Payment Terms: The buyer shall remit payment within fifteen (15) calendar days of receipt of a valid tax invoice from the Journalist. Payment shall be made via NEFT/RTGS to the bank account designated by the Journalist. A 50% advance shall be disbursed upon acceptance of this Purchase Order, and the remaining 50% shall be paid upon satisfactory completion and delivery of all services in India Mumbai.

3. Delivery Schedule: All articles and reports shall be delivered in a minimum of ten (10) business days from the date of this Purchase Order. The live broadcast event coverage shall be completed on the date specified by the India Mumbai Municipal Corporation, which is currently scheduled for 28 June 2025.

4. Intellectual Property: Upon full payment, all written articles, recordings, photographs, and digital media produced by the Journalist under this Purchase Order shall become the exclusive property of Mumbai Media Solutions Pvt. Ltd. The Journalist retains the right to be credited as the author in all published materials.

5. Confidentiality: The Journalist agrees to maintain strict confidentiality regarding any proprietary information, unreleased data, or internal communications of the buyer encountered during the assignment in India Mumbai. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.

6. Cancellation and Termination: Either party may cancel this Purchase Order by providing seven (7) days written notice. In the event of cancellation by the buyer after the Journalist has commenced work, the buyer shall compensate the Journalist for all services rendered up to the date of cancellation, plus a 10% penalty fee.

7. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai, Maharashtra.

8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government restrictions, or public health emergencies affecting operations in India Mumbai.

9. Compliance: The Journalist warrants that she holds a valid press card issued by the Government of Maharashtra and is in full compliance with all applicable Indian media regulations, the Press and Registration of Periodicals Act, 1867, and the Information Technology Act, 2000.
