- This Purchase Order is issued by Meridian Media Solutions Pvt. Ltd., registered in India New Delhi, and constitutes a binding agreement between the Buyer and the Seller upon acceptance. All services described herein shall be rendered by the engaged Journalist in strict compliance with the professional standards of the Indian journalism industry.
- The Journalist shall maintain full editorial independence in all reporting and shall not be subject to undue influence by the Buyer regarding the content, tone, or conclusions of any journalistic output. However, all deliverables must align with the scope and specifications outlined in this Purchase Order.
- All services shall be performed within the jurisdiction of India New Delhi, and the Journalist shall comply with all applicable local, state, and national laws of India, including but not limited to the Press Council of India guidelines, the Right to Information Act, 2005, and the Indian Penal Code provisions pertaining to defamation and privacy.
- Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Journalist. Payment shall be processed via bank transfer to the account designated by the Seller. Applicable Goods and Services Tax (GST) at the prevailing rate shall be charged separately and is inclusive in the total amount stated above.
- The Journalist shall submit all deliverables in both digital (PDF and editable Word format) and, where applicable, hard copy format. All intellectual property rights in the final deliverables shall vest with Meridian Media Solutions Pvt. Ltd. upon full and final payment, subject to the Journalist's right to retain a copy for portfolio purposes.
- Either party may terminate this Purchase Order with a written notice of fourteen (14) days. In the event of early termination, the Buyer shall be liable to pay for all services rendered up to the date of termination, as certified by the Journalist.
- The Journalist shall carry adequate professional indemnity and personal accident insurance coverage for the duration of the engagement. Proof of such insurance shall be furnished to the Buyer prior to the commencement of services.
- All disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India. The parties shall first attempt to resolve any dispute through amicable negotiation or mediation before resorting to litigation.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of India. Any amendments or modifications to this document must be made in writing and signed by both parties.
- The Journalist agrees to maintain strict confidentiality regarding any proprietary information, trade secrets, or internal communications of Meridian Media Solutions Pvt. Ltd. that may be accessed during the course of the engagement. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
