1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Journalist. The Journalist shall sign and return a copy of this document within five (5) business days of receipt to confirm acceptance of all terms.
2. Performance Location: All services described in this Purchase Order shall be performed in Israel Tel Aviv, unless otherwise agreed in writing by both parties. The Journalist shall bear responsibility for any local permits, access credentials, or press credentials required to operate in the Tel Aviv area.
3. Intellectual Property: All content, scripts, recordings, photographs, and written materials produced by the Journalist under this Purchase Order shall become the exclusive property of Media Horizon Productions Ltd. upon full payment. The Journalist retains the right to be credited as the author and correspondent of the work.
4. Payment Schedule: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon delivery of the first three episodes, and 20% upon final acceptance of all deliverables. Payment shall be made via bank transfer to the Journalist's designated account in Israel.
5. Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished information, sources, and internal company communications obtained during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
6. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Journalist shall be compensated for all work completed and documented up to the date of termination.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
8. Compliance: The Journalist warrants that all services rendered shall comply with Israeli labor law, tax obligations, and the ethical standards of the Israeli Press Council. The Journalist shall maintain valid professional insurance coverage throughout the term of this Purchase Order.
