2. SCOPE OF ENGAGEMENT — JOURNALIST SERVICES

This Purchase Order is issued by Roma Media & Communications S.r.l. (hereinafter referred to as the "Buyer") to formally engage the services of Dott.ssa Elena Marchetti, a registered and accredited Journalist operating in Rome, Italy (hereinafter referred to as the "Journalist" or "Supplier"), for the provision of professional editorial, investigative, and press-related services as detailed in the line items below. The Journalist shall perform all duties in accordance with the Italian Press Law (Legge 69/1948) and the professional code of ethics established by the Ordine dei Giornalisti della Regione Lazio. All deliverables shall be produced in the Italian language unless otherwise specified in writing by the Buyer.

4. TERMS AND CONDITIONS

Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Journalist. The Journalist is required to sign and return a copy of this document to the Buyer's Procurement Department in Rome within five (5) business days of the date of issue.
Performance Location: All services under this Purchase Order shall be performed primarily in Rome, Italy, at the locations specified in the line items above or at such other locations within the Lazio region as mutually agreed in writing.
Professional Standards: The Journalist warrants that all work shall be performed in strict accordance with the professional deontological code of the Ordine dei Giornalisti della Regione Lazio and shall uphold the highest standards of journalistic integrity, accuracy, and independence as recognised under Italian law.
Intellectual Property: Upon full payment, all editorial content, articles, reports, and deliverables produced under this Purchase Order shall become the exclusive property of the Buyer. The Journalist retains the right to be credited as author in accordance with Italian copyright law (Legge 633/1941).
Payment: Payment shall be made via bank transfer (bonifico bancario) to the IBAN account specified by the Journalist within thirty (30) calendar days of receipt of a valid invoice (fattura elettronica) issued in compliance with Italian electronic invoicing regulations (SdI — Sistema di Interscambio).
Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all non-public information obtained during the performance of services under this Purchase Order, in accordance with Article 622 of the Italian Penal Code and applicable data protection regulations (GDPR / D.Lgs. 196/2003).
Termination: Either party may terminate this Purchase Order with a written notice of fifteen (15) days. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved exclusively by the competent courts of Rome, Italy, in accordance with Italian procedural law.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the city of Rome or the Lazio region.
