- This Purchase Order is governed by the commercial laws of the Republic of Côte d'Ivoire (Ivory Coast) and the OHADA Uniform Act on Commercial Law applicable in Ivory Coast Abidjan.
- All equipment and services procured under this Purchase Order shall be delivered to the designated office of the Abidjan Press & Media Consortium located in Cocody, Ivory Coast Abidjan, unless otherwise specified in the line items above.
- The Vendor warrants that all items supplied for the Journalist are new, free from defects, and fully compliant with the regulatory standards set by the Ivorian telecommunications and media authorities (HAI — Haute Autorité de l'Audiovisuel) operating in Ivory Coast Abidjan.
- Payment shall be made via bank transfer to the Vendor's designated account in Ivory Coast Abidjan within thirty (30) calendar days of receipt of a valid invoice and confirmation of satisfactory delivery of all items listed in this Purchase Order.
- The Journalist engaged under this Purchase Order shall be bound by the press ethics code of the Ivorian Journalists' Union (Syndicat National des Journalistes de Côte d'Ivoire) and all applicable media regulations in force in Ivory Coast Abidjan.
- Any dispute arising from this Purchase Order shall be resolved through the competent commercial courts of Abidjan, Ivory Coast. Both parties agree to attempt mediation before initiating litigation.
- The Vendor shall provide a minimum of twelve (12) months warranty on all electronic equipment procured for the Journalist, with on-site repair service available within the Ivory Coast Abidjan metropolitan area.
- This Purchase Order may only be amended in writing, signed by both parties. Verbal modifications are not binding.
- All personal data collected in connection with this Purchase Order shall be handled in accordance with the Ivorian data protection law (Loi n° 2013-450) applicable in Ivory Coast Abidjan.
