This Purchase Order is issued by Kyoto Media & Communications Group to formally engage the above-named Journalist for a comprehensive reporting assignment covering cultural, economic, and civic developments in Japan Kyoto. The Journalist shall produce a minimum of twelve (12) long-form articles, four (4) multimedia video segments, and two (2) live broadcast contributions over the contract period. All reporting shall be conducted on-site within the Japan Kyoto region, including but not limited to the historic districts of Higashiyama, Nakagyo, and Fushimi wards. The Journalist is expected to maintain the highest standards of editorial integrity, accuracy, and objectivity consistent with the Japan Press Code of Ethics and the internal editorial guidelines of the issuing entity.

Payment for this Purchase Order shall be made in three (3) installments: (a) 40% upon execution of this Purchase Order and confirmation of the Journalist's engagement; (b) 35% upon delivery and editorial approval of the first eight (8) written articles and two (2) video segments; and (c) the remaining 25% upon final delivery of all remaining deliverables and completion of the Japan Kyoto reporting assignment. All payments shall be processed via bank transfer to the account specified in Section 1. Invoices must reference this Purchase Order number (KYO-2025-04782) and shall be submitted to the procurement office no later than the fifth (5th) business day following each milestone. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Japanese commercial law.
5. Terms and Conditions- Compliance: The Journalist shall comply with all applicable laws and regulations of Japan, including the Press Law, the Personal Information Protection Act, and local ordinances governing media operations in Japan Kyoto. Any filming or recording in restricted areas of Japan Kyoto (e.g., imperial grounds, active religious ceremonies) requires prior written permission from the relevant authorities.
- Intellectual Property: All articles, video recordings, photographs, and audio files produced under this Purchase Order shall become the exclusive property of Kyoto Media & Communications Group upon full payment. The Journalist retains the right to display the work in a personal portfolio with prior written consent.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding unpublished sources, internal editorial strategies, and any proprietary information encountered during the Japan Kyoto assignment. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Editorial Standards: All deliverables must adhere to the editorial style guide provided by the issuing entity. The Journalist shall submit drafts for review at least seventy-two (72) hours before the agreed publication date. A maximum of two (2) revision rounds is included in the Purchase Order value; additional revisions shall be billed separately.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government-mandated closures, or other events beyond reasonable control, particularly those affecting the Japan Kyoto region (e.g., earthquakes, typhoons, or pandemic-related restrictions).
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Journalist shall be compensated for all work completed and approved up to the date of termination, prorated according to the line items in Section 3.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association.
- Insurance: The Journalist shall maintain professional liability insurance with a minimum coverage of 50,000,000 JPY for the duration of the Japan Kyoto assignment and shall provide a certificate of insurance upon request.
