This Purchase Order is issued by Nippon Media Group K.K. (hereinafter referred to as the "Purchasing Party") to the above-named Journalist (hereinafter referred to as the "Service Provider") for the provision of professional editorial, investigative reporting, and multimedia content services to be conducted within the metropolitan area of Japan Tokyo. This Purchase Order constitutes a binding agreement upon acceptance by both parties and governs all terms, conditions, deliverables, and payment arrangements related to the engagement of the Journalist for the specified reporting period.

The Journalist is engaged under this Purchase Order to perform the following duties and deliverables in Japan Tokyo:

All amounts are denominated in Japanese Yen (JPY). Payment shall be made via bank transfer to the account designated by the Journalist in Japan Tokyo.

• Payment shall be made in two installments: 50% (JPY 913,000) due within 14 calendar days of the date of this Purchase Order, and the remaining 50% (JPY 913,000) due within 21 calendar days of final acceptance of all deliverables.
• Payment method: Bank transfer to the Journalist's registered account in Japan Tokyo. Bank name, branch, and account number to be confirmed in writing prior to the first disbursement.
• Late payments shall incur an interest charge of 1.5% per month on the outstanding balance, calculated from the due date.
• All invoices must reference this Purchase Order number (PO-JT-2025-04872) and must be issued in accordance with Japan Tokyo tax and invoicing regulations.

• Intellectual Property: Upon full payment, all rights to the content produced by the Journalist under this Purchase Order shall transfer to Nippon Media Group K.K. The Journalist retains the right to be credited as the author in all published materials.
• Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished information, sources, and internal documents encountered during reporting activities in Japan Tokyo. This obligation survives the termination of this Purchase Order for a period of three (3) years.
• Compliance: The Journalist shall comply with all applicable laws and regulations of Japan Tokyo, including but not limited to the Press Freedom Act, the Personal Information Protection Act, and local municipal ordinances governing media operations.
• Insurance: The Journalist shall maintain professional liability insurance with a minimum coverage of JPY 50,000,000 for the duration of this Purchase Order. A certificate of insurance must be provided prior to the commencement of fieldwork in Japan Tokyo.
• Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Journalist shall be compensated for all work completed and accepted up to the date of termination.
• Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Japan Tokyo. If mediation fails, the matter shall be submitted to the Tokyo District Court for adjudication.
• Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, government-mandated closures, or public health emergencies affecting Japan Tokyo.

This Purchase Order is valid upon the written acceptance of both parties. The Journalist acknowledges receipt of this Purchase Order and agrees to the terms, conditions, and deliverables specified herein for the provision of professional services in Japan Tokyo.
