1. Scope of Work: The Journalist agrees to deliver all services described in this Purchase Order within the timelines specified in the attached Statement of Work. All journalistic content must adhere to the ethical standards of the Kazakhstan Journalists' Union and the professional code of conduct for media practitioners operating in Kazakhstan Almaty.
2. Intellectual Property: Upon full payment, all rights to the published articles, video content, photographs, and multimedia materials produced under this Purchase Order shall transfer to Almaty Media Solutions LLP. The Journalist retains the right to include the work in a personal professional portfolio with prior written consent.
3. Payment Schedule: Payment shall be made in two installments: 50% (1,235,000 KZT) upon acceptance of the first two deliverables, and the remaining 50% (1,235,000 KZT) within 30 calendar days of final delivery and acceptance of all services. Payment shall be processed via bank transfer to the account specified above.
4. Taxation: The Journalist, registered as an Individual Entrepreneur in Kazakhstan, is responsible for all applicable personal income tax, social security contributions, and value-added tax obligations in accordance with the Tax Code of the Republic of Kazakhstan. Almaty Media Solutions LLP shall withhold any statutory taxes as required by Kazakhstani law.
5. Confidentiality: The Journalist shall maintain strict confidentiality regarding all unpublished information, source identities, and internal company data encountered during the performance of duties under this Purchase Order. This obligation survives the termination of this agreement for a period of three (3) years.
6. Compliance with Local Law: All reporting activities conducted in Kazakhstan Almaty shall comply with the Law on Mass Media, the Law on Personal Data, and any applicable regulations of the Committee for Information and Communication of the Republic of Kazakhstan. The Journalist warrants that no content shall violate Kazakhstani defamation, national security, or public order statutes.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Journalist shall be compensated for all services rendered up to the date of termination at the rates specified herein.
8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from this agreement shall be resolved through negotiation, and failing that, through the Almaty City Court of General Jurisdiction in Almaty, Kazakhstan.
9. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Kazakhstan Almaty.
