1. Description of Purchase Order and Scope of ServicesThis Purchase Order is issued by Al-Rai Media Group, LLC, a registered media and publishing company headquartered in Kuwait Kuwait City, to formally engage the services of a qualified Journalist for the production of a series of investigative and feature articles. The Journalist engaged under this Purchase Order shall deliver a minimum of twelve (12) long-form articles covering topics related to urban development, public infrastructure, and cultural heritage within the Kuwait Kuwait City metropolitan area. Each article shall be a minimum of 2,500 words, accompanied by at least four (4) original photographs taken on location in Kuwait Kuwait City. The Journalist is expected to conduct all field reporting, interviews, and fact-checking within the boundaries of Kuwait Kuwait City and its immediate administrative districts. This Purchase Order constitutes a binding agreement between the parties and supersedes all prior verbal or written communications regarding the engagement of the Journalist.

The Journalist shall adhere to the following delivery schedule as stipulated in this Purchase Order. All deliverables must be submitted electronically to the editorial office of Al-Rai Media Group, LLC, located in Kuwait Kuwait City, no later than 17:00 Kuwait Standard Time on the dates specified below:

Payment under this Purchase Order shall be made in three (3) equal installments of KWD 2,075.500 each, corresponding to the completion of Milestones 1, 2, and 3 as outlined above. Payment shall be processed via bank transfer to the account designated by the Journalist within fourteen (14) calendar days of receipt of the corresponding invoice. The final installment shall be released only after the Journalist has completed all revisions requested during the Milestone 4 editorial consultation. All payments are subject to the terms and conditions of this Purchase Order and applicable Kuwaiti commercial law. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
5. Terms and Conditions5.1 The Journalist warrants that all content produced under this Purchase Order shall be original, factually accurate, and free from plagiarism. The Journalist shall comply with the Press and Publications Law of Kuwait and all regulations issued by the Kuwaiti Ministry of Information.
5.2 All intellectual property rights in the articles, photographs, and video materials delivered under this Purchase Order shall vest exclusively in Al-Rai Media Group, LLC upon full payment. The Journalist retains the right to be credited as the author in all published editions.
5.3 The Journalist shall not disclose any confidential information, source identities, or unpublished material obtained during the course of this engagement in Kuwait Kuwait City without the prior written consent of the Purchasing Party.
5.4 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Journalist shall be compensated for all work completed and accepted up to the date of termination.
5.5 This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Kuwait Kuwait City.
5.6 The Journalist shall carry valid professional liability insurance with a minimum coverage of KWD 50,000 for the duration of this engagement and shall provide a certificate of insurance upon request.
6. Acceptance and AuthorizationBy signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document is executed in two (2) original copies, one for each party, in Kuwait Kuwait City.
