This Purchase Order is issued by Atlas Media Group SARL, a media production company headquartered in Casablanca, Morocco, to engage the services of Ms. Salma Benkirane, a credentialed and licensed Journalist operating within the Kingdom of Morocco. 1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, including the Moroccan Code of Obligations and Contracts (Code des Obligations et des Contrats) and the Press and Publication Law No. 88.13. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Casablanca, Morocco.
2. Professional Qualification of the Journalist: The Supplier, Ms. Salma Benkirane, warrants that she holds a valid Moroccan press card (Carte de Presse) issued by the relevant governmental authority and that she is in good standing with the Moroccan press regulatory body. The Journalist shall maintain this qualification for the entire duration of the engagement specified in this Purchase Order. Failure to maintain valid credentials shall constitute grounds for immediate termination of this Purchase Order.
3. Delivery and Acceptance: All journalistic deliverables, including written articles, investigative reports, multimedia segments, and weekly columns, shall be submitted to the Purchasing Party's editorial office in Casablanca no later than the deadlines specified in the attached project schedule. The Purchasing Party shall have a period of five (5) business days to review and accept or request revisions to each deliverable. Acceptance shall be communicated in writing via email.
4. Payment Terms: Payment under this Purchase Order shall be made in two (2) installments. The first installment of fifty percent (50%) of the Grand Total, amounting to MAD 45,840.00, shall be due within fifteen (15) calendar days of the date of this Purchase Order. The second installment of fifty percent (50%), amounting to MAD 45,840.00, shall be due within ten (10) business days following the final acceptance of all deliverables. Payment shall be made via bank transfer to the Journalist's designated account at a Moroccan financial institution. All amounts are denominated in Moroccan Dirhams (MAD) and are inclusive of applicable Moroccan taxes as itemized above.
5. Intellectual Property and Rights: Upon full payment, all journalistic content produced under this Purchase Order, including but not limited to written articles, photographs, audio recordings, video footage, and investigative reports, shall become the exclusive property of Atlas Media Group SARL. The Journalist retains the right to be credited as the author or creator of the work in all publications and broadcasts. The Journalist shall not sell, license, or distribute the content to any third party without prior written consent from the Purchasing Party.
6. Confidentiality and Ethical Standards: The Journalist agrees to maintain strict confidentiality regarding any proprietary information, unpublished data, or internal communications of the Purchasing Party obtained during the course of this engagement. The Journalist shall adhere to the Code of Ethics of the Moroccan press and shall not engage in any form of conflict of interest, plagiarism, or fabrication of information. All sources cited in journalistic deliverables shall be verifiable and in compliance with Moroccan data protection regulations.
7. Cancellation and Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of early termination by the Purchasing Party for convenience, the Journalist shall be compensated for all services rendered up to the date of termination, plus a cancellation fee of ten percent (10%) of the remaining contract value. Termination due to the Journalist's breach of professional ethics or failure to deliver agreed-upon content shall not entitle the Journalist to any further compensation.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, civil unrest in Casablanca or elsewhere in Morocco, or pandemics, provided that the affected party notifies the other in writing within forty-eight (48) hours of the occurrence.
