3. Purpose and Scope of This Purchase Order

This Purchase Order is issued by Himalayan Media & Press Services Pvt. Ltd., a registered media organization operating in Nepal Kathmandu, to procure professional-grade equipment, software licenses, and field reporting accessories specifically designated for the use of Ms. Sunita Gurung, a senior Journalist assigned to cover political, environmental, and human rights stories across the Kathmandu Valley and surrounding districts. The Journalist will utilize the items listed below to conduct on-the-ground reporting, conduct interviews, record audio-visual content, and file stories from remote locations within Nepal. All equipment must meet the standards required by the Nepal Press Council for professional journalistic operations and must be suitable for the varied terrain and climate conditions found in the Kathmandu region and beyond.

5. Delivery and Acceptance Terms

All items specified in this Purchase Order shall be delivered to the office of Himalayan Media & Press Services Pvt. Ltd. located at Thamel Marg, Kathmandu 44600, Nepal, no later than 30 June 2025. The supplier shall ensure that all equipment is new, factory-sealed, and accompanied by valid manufacturer warranties of no less than two years. The designated Journalist, Ms. Sunita Gurung, or her authorized representative shall inspect all items upon delivery and sign the Goods Received Note. Any item found to be defective, damaged, or not conforming to the specifications outlined in this Purchase Order shall be replaced at the supplier's sole expense within seven (7) calendar days. Delivery within the Kathmandu Valley shall be made by the supplier's own logistics team, and all associated transportation costs are included in the delivery charge stated above.

6. Payment Terms and Conditions
  • Payment shall be made via bank transfer to the supplier's registered account in Nepal within thirty (30) days of the date of this Purchase Order, provided all items have been delivered, inspected, and accepted by the Journalist and the organization.
  • The supplier shall issue a valid VAT invoice in the name of Himalayan Media & Press Services Pvt. Ltd. with the correct VAT registration number prior to payment processing.
  • Early payment discount of 2% shall apply if payment is received within fourteen (14) days of the Purchase Order date.
  • Any late payment beyond the stipulated period shall attract interest at the rate of 1.5% per month, calculated on the outstanding balance.
  • All transactions shall be conducted in Nepalese Rupees (NPR) in accordance with the regulations of the Nepal Rastra Bank.
7. Warranties, Support, and After-Sales Service

The supplier guarantees that all equipment listed in this Purchase Order is free from manufacturing defects and shall perform in accordance with the manufacturer's published specifications for a minimum period of twenty-four (24) months from the date of delivery. The supplier shall provide on-site technical support in Kathmandu for any hardware issues within the warranty period. Software licenses shall be activated and configured for the Journalist's use prior to delivery. The supplier shall also provide a one-hour training session for the Journalist on the operation of the video camera, audio recorder, and satellite communication kit at the organization's office in Nepal Kathmandu.

8. General Provisions
  • This Purchase Order is governed by the laws of the Kingdom of Nepal, including the Contract Act, 2023 and the Value Added Tax Act, 2052.
  • Any disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu in accordance with the Arbitration Act, 1994 of Nepal.
  • The supplier shall not subcontract any part of the delivery or installation without prior written consent from the buyer.
  • This Purchase Order may be amended only by mutual written agreement signed by both parties.
  • All intellectual property rights associated with the software licenses remain with the respective manufacturers. The Journalist is granted a single-user license for professional journalistic use.
  • The supplier acknowledges that the equipment procured under this Purchase Order is intended exclusively for the professional use of a registered Journalist in the course of newsgathering and reporting duties in Nepal.
