- Scope of Work: The Journalist agrees to perform all services described in this Purchase Order in accordance with the highest standards of professional journalism as recognized by the Philippine Press Club and the National Union of Journalists of the Philippines. All reporting shall be conducted within the Philippines Manila jurisdiction unless otherwise authorized in writing by the Buyer.
- Compliance with Philippine Law: The Journalist shall comply with all applicable laws of the Republic of the Philippines, including but not limited to the Data Privacy Act of 2012 (Republic Act No. 10173), the Anti-Wiretapping Act, and all regulations governing press operations in the Philippines Manila area. The Journalist warrants that she holds a valid Press Card issued by the Philippine government.
- Payment Schedule: Payment shall be made within thirty (30) calendar days from the date of full acceptance of all deliverables by the Buyer's editorial management. Payment shall be processed via bank transfer to the Journalist's designated account in the Philippines Manila. A 12% withholding tax shall be deducted in accordance with Philippine Bureau of Internal Revenue (BIR) regulations.
- Revision Policy: The Buyer is entitled to request one (1) round of revisions on each deliverable at no additional cost. Subsequent revisions beyond the first round shall be billed at the Journalist's standard hourly rate of PHP 2,500.00 per hour.
- Confidentiality: The Journalist shall maintain strict confidentiality regarding the Buyer's editorial strategies, unpublished content, and internal communications. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with a written notice of seven (7) calendar days. In the event of termination, the Buyer shall compensate the Journalist for all work completed and accepted up to the date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts located in the Philippines Manila, Metro Manila.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed curfews, or public health emergencies affecting the Philippines Manila area.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Journalist in the Philippines Manila. This document constitutes a binding agreement between the Buyer and the Journalist effective from the date of the last signature.
