- This Purchase Order constitutes a binding agreement between Singapore Singapore Media & Communications Pte. Ltd. (hereinafter "the Buyer") and Singapore Singapore Press Agency (hereinafter "the Supplier") for the engagement of professional Journalist services as described herein. All terms are governed by the laws of the Republic of Singapore and the Singapore Singapore jurisdiction.
- The Supplier shall assign a qualified, accredited Journalist holding a valid Singapore Singapore Press Council registration number to lead the reporting assignment. The Buyer reserves the right to request a substitution of the assigned Journalist with 72 hours' written notice, provided the replacement meets equivalent credentials and experience.
- All deliverables produced under this Purchase Order shall be subject to a minimum of two rounds of editorial review by the Buyer's in-house team. The Journalist shall incorporate reasonable editorial feedback within 48 hours of receipt. Final approval of each deliverable shall be documented in writing via email.
- Payment shall be made in Singapore Dollars (SGD) via bank transfer to the Supplier's designated account within Singapore Singapore. Invoices must reference this Purchase Order number (SS-PO-2025-04872) and shall be submitted at the end of each calendar month. Payment is due within 30 days of invoice receipt.
- The Journalist and all supporting personnel shall comply with the Singapore Singapore Broadcasting Act, the Official Secrets Act, and all applicable data protection regulations under the Personal Data Protection Act (PDPA) of Singapore Singapore. Any breach of these regulations shall render this Purchase Order voidable at the Buyer's sole discretion.
- Confidentiality: All source materials, unpublished drafts, and internal communications exchanged under this Purchase Order shall be treated as strictly confidential. The Journalist shall not disclose any proprietary information of the Buyer to third parties without prior written consent. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Intellectual Property: Upon full payment, all rights, title, and interest in the content produced by the Journalist team shall vest in the Buyer. The Supplier retains the right to use anonymised excerpts for portfolio purposes, subject to the Buyer's prior written approval.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions within Singapore Singapore, or pandemics, provided that the affected party notifies the other within 48 hours.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation. Failing resolution within 30 days, the dispute shall be referred to mediation under the Singapore Singapore Mediation Centre. If mediation fails, the matter shall be submitted to arbitration in Singapore Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC).
- This Purchase Order may be amended only by mutual written agreement signed by authorised representatives of both parties. No oral modification shall be valid or enforceable.
