This Purchase Order is issued by Atlantic Media Holdings (Pty) Ltd to engage the services of an accredited Journalist operating within the metropolitan area of South Africa Cape Town. - Scope of Work: The Journalist shall perform all services exclusively within the geographic boundaries of South Africa Cape Town unless prior written approval is obtained from the Purchasing Entity. All reporting, interviews, and fieldwork must be conducted in compliance with local bylaws of the City of Cape Town Municipality.
- Delivery Schedule: All deliverables referenced in this Purchase Order must be submitted no later than the "Required By" date stated above. Late delivery shall incur a penalty of 2% of the total Purchase Order value per calendar day of delay, capped at 15%.
- Intellectual Property: Upon full payment, all written articles, photographs, video recordings, and multimedia content produced by the Journalist under this Purchase Order shall become the sole property of Atlantic Media Holdings (Pty) Ltd. The Journalist retains the right to be credited as the author or creator of the work.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all proprietary information, unpublished sources, and internal communications of the Purchasing Entity. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Payment: Payment shall be made via electronic funds transfer (EFT) to the Journalist's designated bank account within thirty (30) days of receipt of a valid tax invoice. The Journalist must provide a valid VAT invoice in accordance with South African Revenue Service (SARS) requirements.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Journalist shall be compensated for all services rendered up to the date of termination at the rates specified herein.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in Cape Town, Western Cape, in accordance with the Arbitration Act 42 of 1967 of South Africa. The courts of South Africa Cape Town shall have exclusive jurisdiction.
- Compliance: The Journalist warrants that they hold all necessary professional credentials, insurance coverage (including professional indemnity insurance of no less than ZAR 2,000,000), and that their engagement does not violate any existing contractual obligations to third parties.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the provision of Journalist services in South Africa Cape Town. This document is governed by the laws of the Republic of South Africa, and all parties consent to the jurisdiction of the High Court of South Africa, Cape Town Division.
