- Acceptance: This Purchase Order constitutes a binding offer. The Journalist must sign and return a copy of this document within five (5) business days of receipt to confirm acceptance of all terms. Failure to respond within this period shall render this Purchase Order null and void.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Journalist. Payment will be effected via electronic funds transfer (EFT) to the banking details specified in Section 1. All amounts are quoted in South African Rand (ZAR) and are inclusive of applicable Value Added Tax (VAT) at the current rate of 15% as prescribed by the South African Revenue Service (SARS).
- Intellectual Property: Upon full payment, all editorial content, photographs, video recordings, and written materials produced by the Journalist under this Purchase Order shall become the exclusive property of Mzansi Media Group (Pty) Ltd. The Journalist retains the right to be credited as the author or creator in all published materials.
- Compliance with Media Ethics: The Journalist shall adhere strictly to the Code of Conduct of the Press Council of South Africa and the SAJA Code of Ethics. Any breach of professional journalistic standards, including but not limited to fabrication of facts, undisclosed conflicts of interest, or failure to provide right of reply, shall constitute grounds for immediate termination of this Purchase Order without further liability.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished information, source identities, and internal business strategies of Mzansi Media Group (Pty) Ltd. This obligation survives the termination or expiry of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Journalist shall be compensated for all services rendered and expenses incurred up to the date of termination, subject to a final reconciliation.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the High Court of South Africa, Johannesburg Division.
- Health and Safety: The Journalist shall comply with all applicable occupational health and safety regulations in South Africa Johannesburg, including the Occupational Health and Safety Act (Act 85 of 1993), particularly when conducting field reporting in industrial or high-risk areas.
- Anti-Corruption: The Journalist warrants that no bribe, kickback, or improper payment has been or will be made in connection with this Purchase Order, in compliance with the Prevention and Combating of Corrupt Activities Act (Act 12 of 2004).
