- Scope of Work: This Purchase Order authorizes the engagement of the named Journalist for the specific services enumerated above. All reporting, writing, and photographic work shall be conducted within the South Korea Seoul metropolitan area unless otherwise agreed in writing by both parties.
- Intellectual Property: Upon full payment, all articles, photographs, recordings, and derivative works produced by the Journalist under this Purchase Order shall become the exclusive property of Seoul Media Group Co., Ltd. The Journalist retains the right to display the work in a personal portfolio with prior written consent.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all source materials, unpublished information, and internal editorial discussions encountered during the engagement in South Korea Seoul. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: A 40% advance payment (4,144,000 KRW) shall be disbursed upon acceptance of this Purchase Order. The remaining 60% (6,216,000 KRW) shall be paid within thirty (30) calendar days of final delivery and acceptance of all deliverables.
- Compliance: The Journalist warrants that all services rendered shall comply with the Press Freedom Act of the Republic of Korea, the Personal Information Protection Act, and all applicable regulations governing journalistic conduct in South Korea Seoul.
- Revisions: The Journalist shall provide up to two (2) rounds of revisions per deliverable at no additional cost. Additional revisions beyond this scope shall be billed at 150,000 KRW per hour.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the Journalist shall be compensated for all work completed and documented up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising herefrom shall be resolved through arbitration in Seoul, South Korea, under the rules of the Korean Commercial Arbitration Board.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting South Korea Seoul.
