1. Scope of Work: The Journalist agrees to deliver all editorial content in both Spanish and Catalan, as required by the publication's bilingual mandate for its Spain Barcelona readership. All articles must be original, unpublished work, free from plagiarism, and must not conflict with any prior contractual obligations the Journalist may hold with other media outlets.
2. Intellectual Property: Upon full payment, all rights to the published articles, columns, and event reports shall transfer to Editorial Mediterráneo S.L. The Journalist retains the right to include the work in a personal professional portfolio with proper attribution to the publication.
3. Confidentiality: The Journalist shall maintain strict confidentiality regarding unpublished sources, internal editorial strategies, and any non-public information obtained during the course of this Purchase Order engagement in Spain Barcelona. This obligation survives the termination of this agreement for a period of two (2) years.
4. Payment Schedule: Payment shall be made in three (3) equal monthly installments of EUR 9,942.17 (inclusive of VAT), due on the 5th of July, August, and September 2025. Invoices must be submitted via the company's procurement portal. Late payments shall accrue interest at the rate established by Spanish law (Ley 3/2004).
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Journalist shall be compensated for all work completed and approved up to the date of termination. Editorial Mediterráneo S.L. reserves the right to withhold payment for any deliverable that fails to meet the agreed quality standards or ethical guidelines.
6. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation in Spain Barcelona before submission to the competent courts of Barcelona, Spain. The parties agree to the jurisdiction of the Juzgados de Primera Instancia de Barcelona.
7. Compliance: The Journalist warrants that all reporting activities conducted under this Purchase Order shall comply with the Spanish Constitution (Article 20 – Freedom of Expression and Information), the Ley Orgánica 4/1981 on the right of honour, and all applicable regulations governing journalistic practice in Spain Barcelona.
Authorization and AcceptanceThis Purchase Order constitutes a formal and binding request for the Journalist services described herein. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document. This Purchase Order is valid for a period of ninety (90) days from the date of issue, after which it shall expire unless renewed in writing by both parties.
