Payment for this Purchase Order shall be made in three (3) installments via bank transfer to the Journalist's designated account in Spain Madrid:
• First installment (40%): EUR 7,160.00 — due within 15 business days of the date of this Purchase Order.
• Second installment (40%): EUR 7,160.00 — due upon delivery and acceptance of Line Items 01 through 04.
• Third installment (20%): EUR 3,580.00 — due within 10 business days of final acceptance of all deliverables.
All payments are subject to the applicable Spanish Value Added Tax (IVA) at the current rate of 21%, which shall be itemized on the corresponding invoice. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
- Professional Standards: The Journalist shall perform all services in strict adherence to the ethical guidelines of the Spanish Press Council and the professional code of conduct for journalists operating in Spain Madrid. All reporting must be accurate, balanced, and free from conflicts of interest.
- Intellectual Property: Upon full payment, all rights to the scripts, research materials, and recorded interviews produced under this Purchase Order shall transfer to Iberia Media Group S.L. The Journalist retains the right to be credited as the principal author and reporter of the series.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all unpublished information, sources, and internal business matters of the Purchasing Entity. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Spanish Law: All services rendered under this Purchase Order shall comply with the laws of the Kingdom of Spain, including but not limited to the Spanish Constitution (Article 20, Freedom of Expression and Press), the LOPDGDD (Data Protection), and the applicable regulations of the Community of Madrid.
- Revisions: The Purchasing Entity is entitled to request up to two (2) rounds of revisions per deliverable at no additional cost. Further revisions shall be billed at the Journalist's standard hourly rate of EUR 85.00 per hour.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Journalist shall be compensated for all work completed and accepted up to the date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Spain Madrid.
By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order. This document constitutes a binding agreement for the engagement of the Journalist's professional services in Spain Madrid.
