- Scope of Work: The Journalist, María Elena Serrano Ferrer, shall perform all journalistic duties outlined in this Purchase Order in accordance with the editorial guidelines provided by Valencia Media Group S.L. All reporting shall be conducted within the administrative boundaries of the Spain Valencia region unless otherwise agreed in writing.
- Intellectual Property: Upon full payment of the amounts specified in this Purchase Order, all written articles, photographs, multimedia assets, and related intellectual property created by the Journalist shall become the exclusive property of the Buyer. The Journalist retains the right to be credited as the author in all published materials.
- Payment Schedule: Payment shall be made within thirty (30) calendar days of the Buyer's receipt of a valid invoice from the Journalist. Invoices must reference this Purchase Order number (PO-2025-VAL-04872) and include the Journalist's NIF for tax compliance in Spain Valencia.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding any unpublished information, source identities, and internal editorial strategies encountered during the execution of this Purchase Order. This obligation survives the termination of the engagement for a period of twenty-four (24) months.
- Compliance with Spanish Law: All services rendered under this Purchase Order shall comply with the Spanish Constitution (Article 20, Freedom of Expression and Press), the Ley Orgánica 4/1980 de Libertad Ideológica y Religiosa, and the professional code of ethics of the Colegio Oficial de Periodistas de la Comunidad Valenciana.
- Revisions: The Buyer is entitled to request one (1) round of editorial revisions per deliverable at no additional cost. Further revisions requested by the Buyer beyond the initial round shall be billed at the Journalist's standard hourly rate of 65.00 EUR per hour.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Journalist shall be compensated for all services rendered up to the date of termination, plus any non-recoverable expenses incurred in the Spain Valencia area.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain Valencia province.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Spain Valencia region.
- Entire Agreement: This Purchase Order, together with any attached schedules or amendments, constitutes the entire agreement between the parties regarding the Journalist's services and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
