This Purchase Order is issued by AlpenMedia Communications AG to engage the services of Dr. Elena Marchetti, a licensed and accredited Journalist operating in Switzerland Zurich, for the production of investigative and editorial content as detailed below. The Journalist shall perform all duties in accordance with the Swiss Press Act (Pressegesetz) and the professional code of ethics established by the Swiss Press Council (Schweizerischer Presserat). All deliverables must be completed within the Zurich metropolitan area unless otherwise specified in writing.

- Acceptance: This Purchase Order constitutes a binding offer. The Journalist shall confirm acceptance in writing within five (5) business days of receipt. Failure to respond within this period shall be deemed a declination of the order.
- Performance Location: All services under this Purchase Order shall be performed primarily in Switzerland Zurich, unless a specific line item designates an alternative location within the Swiss Confederation. The Journalist is responsible for obtaining any necessary press credentials or access permits from the City of Zurich or relevant cantonal authorities.
- Intellectual Property: Upon full payment, all written articles, photographs, and multimedia content produced by the Journalist under this Purchase Order shall become the exclusive property of AlpenMedia Communications AG. The Journalist retains the right to cite the work in a professional portfolio and to reference the assignment in future biographical materials.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding unpublished sources, internal company data, and any non-public information encountered during the course of this engagement, in accordance with Article 321 of the Swiss Criminal Code (StGB) and the Swiss Federal Act on Data Protection (DSG).
- Payment: The Journalist shall submit a detailed invoice upon completion of each line item. Payment shall be made via bank transfer to the account specified on the invoice within thirty (30) calendar days of receipt. Late payments shall accrue interest at the Swiss statutory rate of 5% per annum as defined under Article 104 of the Swiss Code of Obligations.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Journalist shall be compensated for all services rendered up to the date of termination, plus a cancellation fee of 15% of the remaining contract value.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Zurich, Switzerland. Both parties agree to attempt mediation through the Zurich Chamber of Commerce (Zürcher Handelskammer) before initiating formal legal proceedings.
- Compliance: The Journalist warrants that all content produced shall comply with the Swiss Press Act, the Swiss Federal Act against Unfair Competition (UWG), and the ethical guidelines of the Swiss Press Council. The Journalist shall not engage in any activity that constitutes defamation, invasion of privacy, or breach of journalistic ethics as defined under Swiss law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting the Zurich region.
