This Purchase Order authorizes the engagement of the above-named Journalist to provide professional media and reporting services to East African Media & Communications Ltd. All deliverables shall be produced in accordance with the editorial standards of the Tanzania Press Council and the Code of Ethics of the Tanzania Journalists Association. The Journalist is expected to maintain impartiality, accuracy, and adherence to the Tanzania Media Act No. 6 of 2016 (as amended). All work shall be conducted within the jurisdiction of Tanzania Dar es Salaam unless prior written approval is obtained from the undersigned procurement officer for travel to other regions of the United Republic of Tanzania.
4. Terms and Conditions- Acceptance: This Purchase Order constitutes a binding agreement upon signature by both parties. The Journalist acknowledges receipt and acceptance of all terms herein.
- Timeline: All deliverables referenced in Section 2 shall be completed no later than 30 July 2025. Late delivery beyond five (5) business days without written justification may result in a 5% deduction per week from the applicable line-item amount.
- Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Journalist, submitted to the accounts department at the Tanzania Dar es Salaam office. Payment shall be processed via bank transfer to the account specified in Section 1.
- Intellectual Property: Upon full payment, all written articles, audio recordings, photographs, and editorial assessments produced under this Purchase Order shall become the exclusive property of East African Media & Communications Ltd. The Journalist retains the right to include the work in a professional portfolio with prior written consent.
- Confidentiality: The Journalist shall treat all non-public information accessed during the course of this engagement as strictly confidential. Breach of confidentiality shall render the Journalist liable for damages under the Tanzania Law of Contract Act, Cap. 345.
- Compliance: The Journalist warrants that all services shall be performed in full compliance with Tanzanian law, including but not limited to the Tanzania Media Act, the Data Protection Act No. 6 of 2022, and applicable tax obligations administered by the Tanzania Revenue Authority (TRA).
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Journalist shall be compensated for all services rendered and approved deliverables submitted up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes shall be resolved through the courts of Tanzania Dar es Salaam.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting Tanzania Dar es Salaam.
