Delivery: All physical goods listed in this Purchase Order shall be delivered to the Siam Media Group headquarters at 88/12 Sukhumvit Road, Bangkok, Thailand, no later than 28 June 2025. The supplier is responsible for all packaging, insurance during transit, and final delivery within the Bangkok metropolitan area.
Quality Assurance: All equipment procured under this Purchase Order must be brand-new, factory-sealed, and accompanied by valid manufacturer warranties. The Journalist's operational team will conduct a 48-hour acceptance inspection upon delivery. Any defective or non-conforming items must be replaced within five (5) business days at the supplier's sole expense.
Payment: Payment of the full amount of 1,444,436.00 THB shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of confirmed delivery and acceptance, in accordance with the Net 30 payment terms stated in this Purchase Order.
Regulatory Compliance: The supplier acknowledges that the Journalist's field operations in Thailand Bangkok are subject to the Press and Media Act B.E. 2551 (2008) and all applicable NBTC regulations. The supplier shall provide all necessary documentation to support the Journalist's legal right to operate in public and restricted areas.
Confidentiality: Both parties agree that the details of this Purchase Order, including the Journalist's assignment scope, locations, and editorial plans, shall be treated as strictly confidential. Unauthorized disclosure to third parties is prohibited under Thai commercial law.
Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-mandated closures, or civil unrest in Thailand Bangkok that render performance of this Purchase Order impossible or impracticable.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising hereunder shall be resolved through the Bangkok Commercial Court.
Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both Siam Media Group Co., Ltd. and Chulalongkorn Broadcast & Press Equipment Co., Ltd.
