All deliverables under this Purchase Order shall be completed and submitted to the Purchasing Entity at their Birmingham office, United Kingdom, or via secure electronic transfer to the designated editorial inbox. The Journalist is expected to commence work on 1 July 2025 and complete all deliverables no later than 30 September 2025. All on-site reporting, interviews, and fieldwork shall be conducted within the Birmingham city boundaries and the immediate West Midlands area of the United Kingdom unless otherwise agreed in writing.
6. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Journalist upon countersignature. All terms are governed by the laws of England and Wales, United Kingdom.
- The Journalist warrants that all content produced under this Purchase Order shall be original, factually accurate, and free from plagiarism. The Journalist shall comply with the Editors' Code of Practice and all applicable United Kingdom press regulations.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Journalist. Late payments shall accrue interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, United Kingdom.
- The Journalist shall maintain professional indemnity insurance with a minimum cover of £2,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- All intellectual property rights in the final published works shall vest in Midlands Media & Communications Group Ltd. upon full payment. The Journalist retains the right to be credited as the author in all publications.
- The Journalist shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 when handling personal information of interviewees and sources in Birmingham and the United Kingdom.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Journalist shall be compensated for all work completed and accepted up to the date of termination.
- Any disputes arising from this Purchase Order shall be resolved through the courts of Birmingham, United Kingdom, or by arbitration under the rules of the Chartered Institute of Arbitrators (CIArb), United Kingdom.
- The Journalist shall not assign or subcontract any portion of the work described in this Purchase Order without the prior written consent of the Purchasing Entity.
- All communications regarding this Purchase Order shall be directed to the contact details specified in Sections 1 and 2 above. Verbal agreements shall not be binding unless confirmed in writing.
