This Purchase Order is issued by Thames Media Group Limited to engage the services of an independent Journalist, Mr. Jonathan R. Whitfield, for the production of a series of long-form investigative and feature articles to be published across the company's digital and print platforms. All services under this Purchase Order shall be performed within the United Kingdom London metropolitan area, with the primary working location being the Thames Media Group editorial offices at 42 Fleet Street, London EC4Y 1AA. The Journalist shall adhere to the Editors' Code of Practice as administered by the Independent Press Standards Organisation (IPSO) and shall comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

All prices are quoted in British Pounds Sterling (GBP). VAT is charged at the current UK standard rate of 20% in accordance with HM Revenue & Customs regulations applicable in the United Kingdom.
All reporting, interviews, and fieldwork associated with this Purchase Order shall take place within the United Kingdom London area unless prior written consent is obtained from the Buyer's Procurement Department. The Journalist is expected to be available for editorial meetings at the Fleet Street office on Tuesdays and Thursdays between 09:00 and 17:00 BST. Final deliverables shall be submitted electronically via the designated secure portal. Hard-copy manuscripts, if required, shall be delivered to the editorial desk at 42 Fleet Street, London EC4Y 1AA, United Kingdom.
Payment for this Purchase Order shall be made by BACS bank transfer to the account details provided by the Journalist in writing. The Buyer shall remit 50% of the total amount upon acceptance of the first deliverable (Ref 01) and the remaining 50% within fourteen (14) calendar days of the final deliverable and receipt of a valid VAT invoice. Late payments shall accrue interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 as applicable in the United Kingdom.
6.1 This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
6.2 The Journalist warrants that all content produced under this Purchase Order shall be original, free from plagiarism, and shall not infringe upon any third-party intellectual property rights, including copyright, defamation, or breach of confidence.
6.3 The Journalist shall maintain professional indemnity insurance with a minimum cover of £2,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
6.4 The Buyer reserves the right to request reasonable revisions to any deliverable. The Journalist shall accommodate up to two (2) rounds of editorial revisions at no additional cost. Further revisions shall be billed at the hourly rate of £120.00 per hour.
6.5 Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond their reasonable control, including but not limited to acts of God, civil unrest in the United Kingdom London area, or government-imposed restrictions.
6.6 The Journalist shall comply with all applicable health and safety regulations when conducting fieldwork in the United Kingdom London area and shall carry appropriate personal identification at all times during reporting activities.
6.7 This Purchase Order may be terminated by either party with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the date of termination.
