This Purchase Order authorizes the engagement of the named Journalist to perform the professional reporting, editorial, and media production services described in the line items above. The Journalist shall adhere to the ethical standards established by the Society of Professional Journalists (SPJ) Code of Ethics and shall comply with all applicable federal, state, and local laws governing press operations within the United States Chicago jurisdiction. All deliverables must be submitted to the Buyer's editorial office at the address listed above no later than the dates specified in the project timeline attached as Exhibit A to this Purchase Order. The Journalist retains full copyright ownership of all original work product until final payment is received in full, at which point a non-exclusive, perpetual license for editorial use is granted to Meridian Media Group, LLC.
- Acceptance: This Purchase Order becomes a binding agreement upon written or electronic acceptance by the Journalist. Acceptance must be returned to the Buyer within five (5) business days of the date of issue.
- Payment: Payment shall be made via ACH transfer to the bank account designated by the Journalist within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Illinois commercial code provisions applicable in United States Chicago.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all proprietary information, unpublished sources, and internal communications of the Buyer. This obligation survives termination of this Purchase Order for a period of three (3) years.
- Independent Contractor Status: The Journalist is engaged as an independent contractor and not as an employee of Meridian Media Group, LLC. The Journalist is solely responsible for all federal, state (Illinois), and local (City of Chicago) tax obligations arising from compensation under this Purchase Order.
- Insurance: The Journalist shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence and shall provide a certificate of insurance upon request prior to commencing work in United States Chicago.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall compensate the Journalist for all services rendered and expenses incurred up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, with venue exclusively in the Circuit Court of Cook County, United States Chicago.
- Dispute Resolution: Any disputes arising under this Purchase Order shall first be subject to good-faith mediation in United States Chicago before either party may initiate litigation.
