- Scope of Work: The Journalist shall perform all services described in this Purchase Order in a professional, timely, and ethically sound manner consistent with the standards of the Society of Professional Journalists (SPJ) Code of Ethics. All reporting and content shall be conducted within the jurisdiction of Houston, United States, unless otherwise authorized in writing by the Buyer.
- Intellectual Property: Upon full and final payment of all amounts due under this Purchase Order, all rights, title, and interest in the journalistic content, photographs, video footage, and multimedia materials produced by the Journalist shall be assigned to Galveston Bay Media Group, LLC. The Journalist shall retain the right to use excerpts for personal portfolio purposes with prior written consent from the Buyer.
- Payment Schedule: A 40% advance payment ($15,293.56) shall be due within five (5) business days of the execution of this Purchase Order. The remaining 60% ($22,940.34) shall be due within thirty (30) days of final delivery and acceptance of all deliverables. All payments shall be made via wire transfer to the bank account designated by the Journalist.
- Acceptance and Revisions: The Buyer shall have a period of ten (10) business days following delivery to review and accept or reject each deliverable. In the event of rejection, the Journalist shall be provided with specific written feedback and shall have five (5) business days to make the necessary revisions at no additional cost.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all proprietary information, unpublished data, and internal communications of Galveston Bay Media Group, LLC. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Law: All services rendered under this Purchase Order shall comply with all applicable federal, state, and local laws of the United States, the State of Texas, and the City of Houston. The Journalist shall be responsible for obtaining any necessary permits, licenses, or credentials required to conduct journalistic activities in Houston, United States.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer for convenience, the Journalist shall be compensated for all services rendered and expenses incurred up to the date of termination. In the event of termination due to material breach by the Journalist, no further payment shall be due.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes arising hereunder shall be resolved in the state or federal courts located in Harris County, Houston, United States.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, or public health emergencies affecting the Houston, United States area.
- Entire Agreement: This Purchase Order, together with any attached exhibits and amendments, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, and agreements.
