Terms and Conditions of This Purchase Order

  1. Acceptance: By signing below, the Journalist (Jonathan R. Whitfield) accepts all terms, conditions, and line items specified in this Purchase Order. This document constitutes a binding agreement between the Purchasing Party and the Journalist for the services rendered in Los Angeles, United States.
  2. Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Journalist. Payment will be processed via ACH transfer to the bank account designated by the Journalist. Late payments shall accrue interest at a rate of 1.5% per month as permitted under California Commercial Code Section 2210.25.
  3. Deliverables and Deadlines: All Journalist deliverables, including but not limited to interview recordings, written scripts, and revised articles, must be submitted to the Meridian Media Productions office in Los Angeles, United States, no later than the dates specified in the project timeline. Failure to meet deadlines may result in a 5% reduction per day of delay, up to a maximum of 25% of the affected line item value.
  4. Intellectual Property: Upon full payment, all rights, title, and interest in the Journalist's work product (scripts, recordings, footage, and written materials) shall transfer to Meridian Media Productions, LLC. The Journalist retains the right to be credited as the reporting Journalist in all published and broadcast materials.
  5. Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all proprietary production information, unreleased footage, and internal editorial discussions. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  6. Compliance: The Journalist warrants that all services will be performed in compliance with the Society of Professional Journalists Code of Ethics, California Privacy Law (CCPA), and all applicable federal and state regulations governing media production in the United States.
  7. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Journalist shall be compensated for all services rendered and expenses incurred up to the date of termination.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
  9. Independent Contractor Status: The Journalist is engaged as an independent contractor and not as an employee of Meridian Media Productions, LLC. The Journalist is solely responsible for all applicable federal, state, and local tax obligations, including self-employment tax, in the United States.
