Terms and Conditions
- This Purchase Order constitutes a binding agreement between Media Solutions Group, LLC and the named Journalist for the provision of professional media services within the United States Miami area. All terms herein supersede any prior verbal or written communications.
- The Journalist agrees to deliver all written content, reports, and media materials in accordance with the timelines specified in this Purchase Order. Failure to meet the Required Delivery Date of July 15, 2025, without written approval from the issuing organization, shall result in a penalty of 2% of the total Purchase Order value per business day of delay, up to a maximum of 10%.
- All work performed by the Journalist under this Purchase Order shall be conducted in full compliance with the First Amendment of the United States Constitution, Florida Statutes Chapter 248 (Press Freedom), and all applicable local ordinances within Miami-Dade County and the broader United States Miami metropolitan region.
- The Journalist shall maintain professional press credentials, valid Florida press identification, and all necessary permits for on-site reporting within the United States Miami area. Any costs associated with obtaining or renewing such credentials are included in the line item pricing above.
- Payment shall be made via ACH transfer to the bank account designated by the Journalist within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-MIA-00847). Late payments shall accrue interest at 1.5% per month.
- All intellectual property rights in the final deliverables (articles, reports, multimedia content) shall transfer to Media Solutions Group, LLC upon full payment. The Journalist retains the right to use excerpts for portfolio purposes with prior written consent.
- This Purchase Order is governed by the laws of the State of Florida, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.
- The Journalist shall carry professional liability insurance with a minimum coverage of $1,000,000 per occurrence, naming Media Solutions Group, LLC as an additional insured party. A certificate of insurance must be provided prior to commencement of work.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No oral modifications shall be valid or enforceable.
- The Journalist warrants that all content produced under this Purchase Order shall be original, factually accurate to the best of professional journalistic standards, and free from plagiarism or unauthorized use of third-party materials.
