- This Purchase Order constitutes a binding agreement between Meridian Media Group, Inc. (hereinafter "the Purchaser") and the undersigned Journalist (hereinafter "the Vendor") for the provision of professional journalistic services as described herein. All work shall be performed within the jurisdiction of the United States New York City and in accordance with applicable New York State and federal laws.
- The Journalist agrees to deliver all written, photographic, and video content in accordance with the editorial calendar established by the Supervising Editor. Late delivery of any deliverable beyond five (5) business days without written justification may result in a reduction of five percent (5%) of the corresponding line-item fee.
- All content produced under this Purchase Order shall be the exclusive intellectual property of Meridian Media Group, Inc. upon full payment. The Journalist retains the right to be credited as the bylined author of all published pieces.
- The Journalist shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence, valid throughout the contract term, and shall provide a certificate of insurance to the Purchaser prior to the commencement of work in the United States New York City.
- Payment shall be made via ACH transfer to the bank account designated by the Journalist within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (MMG-2025-04871) and itemize all charges against the line items specified above.
- The Journalist shall comply with all applicable New York City municipal regulations, including but not limited to filming permits, public access requirements, and any restrictions imposed by the New York City Department of Citywide Administrative Services during field assignments.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Purchaser shall compensate the Journalist for all services rendered and expenses incurred up to the effective date of termination.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, United States New York City.
- The Journalist warrants that all reporting shall be conducted with journalistic integrity, accuracy, and in full compliance with the New York State Press Association's code of ethics and the Society of Professional Journalists' standards.
- No modification of this Purchase Order shall be valid unless made in writing and signed by both parties. This document, together with any attached exhibits, constitutes the entire agreement between the parties regarding the subject matter herein.
