- This Purchase Order constitutes a binding agreement between Empresa de Medios Digitales del Caribe, C.A. (hereinafter "the Buyer") and the undersigned Journalist (hereinafter "the Supplier") for the provision of professional journalism services to be performed exclusively within the city of Caracas, Venezuela, and its immediate metropolitan area.
- The Journalist shall perform all duties in strict compliance with the Venezuelan Constitution, the Ley de Prensa, the Código de Ética del Periodista Venezolano, and all applicable regulations issued by the Ministerio del Poder Popular para la Cultura and the Comisión Nacional de Telecomunicaciones (CONATEL).
- All journalistic content produced under this Purchase Order shall be the exclusive intellectual property of the Buyer upon full payment. The Journalist retains the right to be credited as the author of all published works.
- Payment shall be made in US Dollars (USD) via bank transfer to the account designated by the Journalist, or in Bolívares Fuertes (VES) at the official exchange rate published by the Banco Central de Venezuela (BCV) on the date of payment. Invoices must be submitted by the 5th of each month for the preceding month's services.
- The Journalist is responsible for obtaining all necessary press credentials, access permits, and travel authorizations required to perform reporting duties in Caracas, Venezuela. The Buyer shall provide reasonable assistance in securing access to government facilities and public events.
- Either party may terminate this Purchase Order with a written notice of fifteen (15) calendar days. In the event of early termination, the Buyer shall compensate the Journalist for all services rendered up to the date of termination, plus a pro-rata portion of any non-refundable commitments already made.
- The Journalist shall maintain professional liability insurance with a minimum coverage of USD 50,000 for the duration of this engagement, as required for freelance journalism operations in Venezuela.
- All disputes arising from this Purchase Order shall be resolved through mediation in Caracas, Venezuela, in accordance with the Ley de Arbitraje y Mediación. If mediation fails, the competent courts of the Circunscripción Judicial del Área Metropolitana de Caracas shall have exclusive jurisdiction.
- This Purchase Order is valid for acceptance until June 22, 2025. Failure to sign and return the acceptance copy by this date shall render this document null and void.
- The Journalist warrants that all information gathered and reported shall be accurate, obtained through lawful means, and free from any conflict of interest. Any breach of this warranty shall constitute grounds for immediate termination without further compensation.
