NOTE: This Purchase Order is issued specifically to support the operational needs of a Journalist assigned to Mavuto Media & Communications (Pvt) Ltd for a twelve-month reporting contract based in Zimbabwe Harare. All equipment and services listed herein are intended to ensure the Journalist can perform professional news gathering, reporting, and broadcasting duties in full compliance with the laws of the Republic of Zimbabwe. The Purchase Order shall remain binding on both parties until the expiry date stated above. TERMS AND CONDITIONS

Acceptance: This Purchase Order constitutes a formal request for quotation and, upon written acceptance by the vendor, becomes a binding contract between Mavuto Media & Communications (Pvt) Ltd and TechSource Zimbabwe (Pvt) Ltd. The vendor shall confirm acceptance of this Purchase Order in writing within five (5) business days of receipt.
Delivery: All physical goods shall be delivered to the recipient address in Harare, Zimbabwe, within the timeframes specified in the line-item table. The vendor bears all risk of loss or damage until goods are received and signed for by the designated recipient at the Harare office. Late delivery beyond the stated period shall incur a penalty of 2% of the affected line-item value per day of delay.
Payment Terms: Payment shall be made within thirty (30) days of the date of the invoice, provided all goods and services have been inspected and accepted. Payment shall be made via bank transfer to the vendor's designated account in Zimbabwe Harare. The currency of this Purchase Order is the United States Dollar (USD), and all amounts are exclusive of any applicable Zimbabwean taxes, which are itemized separately.
Warranty and Support: All electronic equipment purchased under this Purchase Order shall carry a minimum manufacturer's warranty of twelve (12) months from the date of delivery in Harare. The vendor shall provide on-site technical support for the Journalist's equipment within forty-eight (48) hours of a reported fault during the warranty period.
Compliance with Zimbabwean Law: The vendor warrants that all goods and services supplied under this Purchase Order comply with the regulations of the Zimbabwe National Standards Authority (ZANAS), the Zimbabwe Communications Authority (ZCA), and all applicable import and customs legislation of the Republic of Zimbabwe. The Journalist's use of the procured equipment shall not violate any provision of the Press and Publishing Act [Chapter 20:12] or the Access to Information and Protection of Privacy Act [Chapter 11:27].
Confidentiality: The vendor acknowledges that the Journalist's operational details, reporting assignments, and the specific equipment configurations outlined in this Purchase Order are confidential. No information contained herein shall be disclosed to third parties without the prior written consent of Mavuto Media & Communications (Pvt) Ltd.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions on media operations in Zimbabwe, or changes in import regulations affecting the supply chain in Harare.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Harare, Zimbabwe, in accordance with the Arbitration Act [Chapter 7:15].
Amendments: No amendment, modification, or cancellation of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Any change to the scope of the Journalist's assignment that necessitates additional procurement must be documented as a supplementary Purchase Order.
