- Payment Terms: Payment shall be made in three (3) installments: 40% upon signing of this Purchase Order, 40% upon delivery and acceptance of all items at the Palais de Justice d'Alger, and 20% upon completion of installation, configuration, and training services. Payment shall be processed via bank transfer to the supplier's account at Banque d'Algérie, Algiers branch.
- Delivery: All items shall be delivered to the Palais de Justice d'Alger, 12 Rue Didouche Mourad, 16000 Algiers, Algeria, during standard business hours (08:00–16:00, Sunday–Thursday). The supplier is responsible for all transportation, insurance, and handling within the Algiers metropolitan area.
- Acceptance: The Honorable Judge's administrative office shall have ten (10) business days from the date of delivery to inspect and accept or reject each item. Rejected items must be replaced or repaired by the supplier within fifteen (15) business days at no additional cost.
- Warranty: All hardware items carry a minimum three (3) year manufacturer's warranty. Software licenses include three (3) years of updates and technical support as specified in Item 03. The comprehensive maintenance contract (Item 09) is valid for three (3) years from the date of final acceptance.
- Compliance: All products and services must comply with the regulations of the Algerian Ministry of Justice, the Algerian Consumer Protection Code, and applicable standards of the Algerian Standards and Quality Institute (ANRB). The Judge's office equipment must meet the security protocols established for judicial facilities in Algiers.
- Confidentiality: The supplier and all subcontractors shall sign a non-disclosure agreement prior to installation. No information regarding the Judge's case files, court proceedings, or internal judicial operations of the Algiers district shall be disclosed to any third party.
- Penalties for Delay: In the event of delayed delivery beyond the deadlines specified in Section 2, the supplier shall pay a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%. Delays exceeding thirty (30) days entitle the Buyer to cancel this Purchase Order without penalty.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the People's Democratic Republic of Algeria. Any disputes shall be resolved by the competent commercial court in Algiers, Algeria.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government decrees, or civil unrest affecting the Algiers region, provided that written notice is given within five (5) business days.
