All items listed in this Purchase Order shall be delivered to the Fórum João Mendes Júnior, Av. Dr. Cardoso de Melo, 2091, 4º andar, São Paulo – SP, Brazil, no later than 30 July 2025. The supplier is responsible for full installation, assembly, and calibration of all furniture and equipment within the Judge's designated chambers (Sala 412). Delivery must be scheduled between 08:00 and 17:00 on business days to avoid disruption to ongoing judicial proceedings. The supplier must present a valid CNPJ registration and proof of compliance with Brazilian labor and tax obligations prior to delivery.

5. Payment Terms

Payment shall be made via bank transfer (TED/PIX) to the supplier's designated account, in accordance with the public procurement regulations of the State of São Paulo (Lei Estadual nº 10.933/2001 and Lei Federal nº 14.133/2021 – Nova Lei de Licitações). The payment schedule is as follows:

1. 40% (R$ 35.020,56) – Due upon signing of this Purchase Order and confirmation of the supplier's contract.

6. Terms and Conditions

1. This Purchase Order is issued in accordance with the public procurement framework of the Tribunal de Justiça do Estado de São Paulo and complies with all applicable federal and state legislation in Brazil.
2. All goods must be new, of first quality, and accompanied by manufacturer warranties of no less than 12 months (furniture) and 24 months (electronic components).
3. The supplier warrants that all materials used in the manufacture of the judicial furniture comply with Brazilian environmental standards (CONAMA Resolution 307/2002) and fire safety regulations (ABNT NBR 9442).
4. Any defect, damage, or non-conformity discovered within the warranty period must be remedied by the supplier at no additional cost to the Judge's office within 15 business days of written notice.
5. The supplier shall maintain strict confidentiality regarding the identity of the Judge, the nature of the judicial proceedings, and any documents or records encountered during installation. Breach of confidentiality shall result in immediate contract termination and legal action under the Brazilian Civil Code (Código Civil, Lei nº 10.406/2002).
6. This Purchase Order does not constitute a binding contract until countersigned by the authorized procurement officer of the TJSP and the supplier's legal representative.
7. Disputes arising from this Purchase Order shall be resolved by the competent courts of the city of São Paulo, State of São Paulo, Brazil, in accordance with Article 101 of the Brazilian Civil Procedure Code (Código de Processo Civil, Lei nº 13.105/2015).
8. The supplier acknowledges that the goods purchased under this order are intended exclusively for the official use of the Judge in the performance of judicial duties and shall not be resold, transferred, or repurposed without prior written authorization from the TJSP.
