- Delivery: All items listed in this Purchase Order shall be delivered to the Intermediate People's Court, Tianhe District, Guangzhou, China, no later than August 15, 2025. The supplier is responsible for all transportation, insurance, and handling costs within the Guangzhou metropolitan area.
- Quality Standards: Every item procured under this Purchase Order must meet or exceed the specifications published by the Supreme People's Court of the People's Republic of China. The Judge's robe, gavel, and bench shall bear the official court insignia as prescribed by the Judicial Administration Bureau of Guangdong Province.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon delivery and acceptance at the Guangzhou court premises, and 20% upon completion of a 30-day defect-free trial period. All payments shall be transferred via bank wire to the supplier's designated account in CNY.
- Warranty: The supplier warrants all furniture and equipment for a minimum period of five (5) years from the date of acceptance. The Judge's gavel and ceremonial robe carry a two-year warranty against manufacturing defects.
- Acceptance: A joint inspection team comprising the court's Administrative Affairs Director and the presiding Judge shall inspect all delivered items at the Guangzhou location within five (5) business days of delivery. Any non-conforming items must be replaced or repaired at the supplier's sole expense within ten (10) business days.
- Confidentiality: The supplier acknowledges that this Purchase Order pertains to the internal operations of a judicial body in Guangzhou, China. All personnel involved in the delivery and installation shall sign a non-disclosure agreement prior to entering the court premises.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and applicable regulations of the Guangdong Provincial People's Court. Any disputes shall be submitted to the arbitration commission in Guangzhou.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Guangzhou region.
