All hardware and software components under this Purchase Order shall be delivered to the Shanghai Municipal People's Court premises located at 100 Fuxing Road, Huangpu District, China Shanghai, no later than August 30, 2025. The Supplier is responsible for all packaging, transportation, customs clearance (if applicable), insurance, and final installation within the designated courtrooms. Installation must be completed within ten (10) business days of physical delivery. All Judge systems must be fully operational and passed a joint acceptance inspection conducted by the Court's IT department and the Supplier's engineering team before the final payment milestone is triggered.

All transactions under this Purchase Order shall be governed by the Civil Code of the People's Republic of China and applicable procurement regulations of the Shanghai Municipal Government. The Supplier warrants that all Judge systems and software shall be free from defects in design, materials, and workmanship for a period of three (3) years from the date of acceptance. Any intellectual property embedded in the Judge Decision Support Software or the Judge Docket Management System shall remain the property of the Supplier, with a perpetual, non-transferable license granted to the Shanghai Municipal People's Court for internal judicial use within China Shanghai. The Supplier shall maintain full compliance with the Personal Information Protection Law of the People's Republic of China, ensuring that no Judge case data, party information, or judicial records are stored on servers outside the territory of China. Disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in accordance with its rules in effect at the time of filing.

Important Note: This Purchase Order is issued in accordance with the Shanghai Municipal Government Procurement Regulations (2024 Revision). All Judge-related systems procured herein must pass the cybersecurity assessment conducted by the Shanghai Municipal Cyberspace Administration before being connected to the court's internal network. The Supplier shall provide all necessary documentation, source code escrow agreements, and data migration plans as part of the final acceptance deliverables.
