This Purchase Order is issued by the Office of the Judiciary in DR Congo Kinshasa for the procurement of comprehensive judicial equipment, software systems, and professional services under the Judge Programme. TOTAL VALUE OF THIS PURCHASE ORDER: USD 2,394,000.00 (Two Million Three Hundred Ninety-Four Thousand US Dollars)
All goods and services specified in this Purchase Order shall be delivered, installed, and made fully operational at the Judicial Palace and associated court facilities located in the Commune de Gombe, Kinshasa, DR Congo. The Seller shall bear full responsibility for international shipping, customs clearance at the Port of Matadi or Kinshasa International Airport (N'djili), and final delivery to the designated sites in DR Congo Kinshasa. The complete delivery and installation of all Judge Programme components shall be completed no later than 180 days from the date of this Purchase Order. The Seller shall coordinate with the local judicial administration in Kinshasa to ensure minimal disruption to ongoing court proceedings during the installation period.
Payment for this Purchase Order shall be made in accordance with the following schedule: (a) 30% advance payment upon execution of this Purchase Order; (b) 40% upon successful delivery and installation of all physical goods in DR Congo Kinshasa; (c) 20% upon completion of the Judge Professional Development Programme and full system commissioning; and (d) 10% retention payment released after a 12-month performance warranty period. All payments shall be made via irrevocable letter of credit issued by the National Bank of the Democratic Republic of Congo, payable in US Dollars. The Seller shall provide all necessary tax documentation in compliance with the tax laws of DR Congo Kinshasa, including applicable withholding tax certificates.
The Seller warrants that all goods and services provided under this Purchase Order shall be new, of the highest quality, and free from defects in materials and workmanship. The Judge Case Management Software and all digital systems shall comply with the data protection and cybersecurity standards established by the National Commission of Informatics and Communication of DR Congo Kinshasa. All equipment shall carry a minimum 3-year manufacturer's warranty. The Seller shall ensure that all training materials under the Judge Programme are delivered in French, the official language of the Democratic Republic of Congo, with supplementary materials in Lingala where applicable. The Seller further warrants that all services shall be performed in full compliance with the laws of the Republic of the Democratic Republic of Congo and the regulations governing the judiciary in Kinshasa.
This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of Congo. Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Should negotiation fail, the dispute shall be referred to arbitration in Kinshasa, DR Congo, in accordance with the rules of the Arbitration Centre of the Court of Kinshasa. The language of arbitration shall be French. The parties acknowledge that the integrity and independence of the Judge corps in DR Congo Kinshasa is of paramount importance, and any dispute resolution process shall be conducted with the utmost respect for judicial sovereignty.
