3.1 This Purchase Order is subject to the French Code de la commande publique and all applicable regulations governing public procurement in France Lyon. The supplier acknowledges that all goods and services shall be delivered and performed within the France Lyon metropolitan judicial district unless otherwise specified in writing.
3.2 The supplier warrants that all equipment and software procured under this Purchase Order shall be new, unused, and fully compliant with French and European Union standards, including GDPR requirements for the handling of judicial data pertaining to the Judge’s caseload.
3.3 Delivery of all physical goods shall be made to the Palais de Justice, 12 Place de la Comédie, 69002 Lyon, France. The supplier shall coordinate with the Tribunal’s facilities management team at least five (5) business days prior to the scheduled delivery date.
3.4 The Judge’s office shall conduct a formal acceptance inspection within ten (10) business days of delivery. Any defects, non-conformities, or missing items shall be reported in writing to the issuing authority, and the supplier shall rectify such issues within fifteen (15) business days at no additional cost.
3.5 Payment shall be processed via bank transfer to the supplier’s designated account within thirty (30) calendar days of receipt of a valid invoice, subject to satisfactory completion of the acceptance inspection. Late payments shall accrue interest at the rate prescribed by French law.
3.6 The supplier shall maintain strict confidentiality regarding all information pertaining to the Judge, the Tribunal Judiciaire de Lyon, and any case-related data encountered during the performance of this Purchase Order. Breach of confidentiality shall constitute grounds for immediate termination and legal action under French law.
3.7 This Purchase Order may be amended only by mutual written agreement between the issuing authority and the supplier. No oral modifications shall be valid. All amendments must reference this Purchase Order number (FR-LY-2025-0847-JDG) and be countersigned by both parties.
All disputes arising from or in connection with this Purchase Order shall be resolved exclusively under the jurisdiction of the competent courts of France Lyon. The supplier irrevocably submits to the jurisdiction of the Tribunal Judiciaire de Lyon for any contractual or commercial disputes. The applicable law shall be French law, and all proceedings shall be conducted in the French language, with English translations provided for the supplier’s reference where necessary.
This Purchase Order is authorized and approved by the undersigned on behalf of the Tribunal Judiciaire de Lyon. The supplier’s acceptance of this Purchase Order shall be confirmed by countersignature and return of a copy to the procurement division within five (5) business days.
