All hardware and software components referenced in this Purchase Order shall be delivered to the Tribunal Judiciaire de Paris, located at 13 Place du Palais, 75058 Paris Cedex 01, France. The Judge platform software shall be deployed on the on-premise servers within the secure judicial network of France Paris. The supplier, Judge Solutions Europe S.A.S., shall complete all installation and configuration work no later than 31 August 2025. The training sessions shall be conducted at the Palais de Justice in France Paris during the week commencing 1 September 2025. All deliveries are subject to the Incoterms 2020 rule DDP (Delivered Duty Paid) at the specified Paris address.
4. Payment Terms- Advance Payment (30%): EUR 178,830.00 payable within 15 business days of acceptance of this Purchase Order, via bank transfer to the supplier's account (IBAN: FR76 3000 4000 0300 0000 0000 000, BIC: BNPAFRPPXXX).
- Delivery Payment (50%): EUR 298,050.00 payable within 30 days of confirmed delivery and successful installation of the Judge system in France Paris.
- Final Payment (20%): EUR 119,220.00 payable within 30 days of completion of the training programme and issuance of the final acceptance certificate by the Tribunal Judiciaire de Paris.
- All payments shall be made in Euros (EUR) to the bank account specified above. Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Commercial Code.
- This Purchase Order is governed by the laws of the French Republic. Any dispute arising from the interpretation or execution of this document shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France.
- The Judge platform and all associated intellectual property remain the exclusive property of Judge Solutions Europe S.A.S. The Tribunal Judiciaire de Paris is granted a non-transferable, perpetual licence to use the software within the judicial facilities of France Paris.
- The supplier warrants that the Judge system shall be free from material defects for a period of 24 months from the date of final acceptance. Any defects discovered during this warranty period shall be remedied at no additional cost to the Buyer.
- All personal data processed by the Judge platform shall comply with the General Data Protection Regulation (GDPR) and the French Data Protection Act (Loi Informatique et Libertés, as amended). Data hosting shall take place exclusively within France Paris or within the European Union.
- The supplier shall maintain full confidentiality regarding all judicial proceedings, case files, and sensitive information accessed through the Judge system. A separate Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
- Force majeure events, as defined under Articles 1218 to 1220 of the French Civil Code, shall suspend the obligations of the affected party for the duration of the event, provided written notice is given within 5 business days.
- The supplier shall provide a minimum of 12 months' prior written notice before any material change to the Judge platform's architecture, pricing, or support terms.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to the procurement of the Judge system for the courts of France Paris.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the acquisition of the Judge Integrated Case Management Platform for use in the judicial courts of France Paris.
