All Judge hardware and software components specified in this Purchase Order shall be delivered to the Berlin Metropolitan Events Authority warehouse located at Spandauer Damm 10, 13581 Berlin, Germany, no later than 20 September 2025. Installation, configuration, and full system testing of every Judge terminal at the Friedrichshain Hall venue in Germany Berlin must be completed by 25 September 2025. The supplier, Judge Professional Systems GmbH, shall bear all costs associated with transportation, insurance, and on-site installation within the city of Berlin, Germany. A minimum of two certified Judge system technicians from the supplier must be present during the installation phase to ensure full compliance with the Berlin competition authority's technical specifications.

  • 30% Advance Payment: EUR 62,914.11 due within 14 calendar days of the acceptance of this Purchase Order by both parties.
  • 50% Delivery Payment: EUR 104,856.85 due upon confirmed delivery and successful installation of all Judge systems in Germany Berlin.
  • 20% Final Payment: EUR 41,942.74 due within 30 days following the successful conclusion of the event and final acceptance of all Judge scoring data records.
  • All payments shall be made via bank transfer to the supplier's designated account in Berlin, Germany. Late payments shall incur interest at the statutory rate under German commercial law (BGB § 288).
  • This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
  • The supplier warrants that all Judge hardware and software components are free from defects, fully operational, and compliant with all applicable German and European Union regulations, including the GDPR (DSGVO) for data protection of all Judge and contestant information.
  • The supplier shall provide a minimum 24-month warranty on all Judge terminals and a 12-month warranty on the Judge software license, both commencing from the date of final installation in Germany Berlin.
  • Neither party may assign or transfer its obligations under this Purchase Order without the prior written consent of the other party.
  • In the event of force majeure, either party may suspend performance of this Purchase Order for a period not exceeding 30 days, after which the non-affected party may terminate this Purchase Order without penalty.
  • All intellectual property rights associated with the Judge evaluation software remain the exclusive property of Judge Professional Systems GmbH. The buyer is granted a non-transferable, non-exclusive license for use solely within the scope of this Purchase Order in Germany Berlin.
  • The supplier shall maintain full confidentiality regarding all scoring data, contestant information, and internal deliberations of the Judge panels. Breach of confidentiality shall result in immediate termination of this Purchase Order and liability for damages under German law.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Judge system procurement in Germany Berlin. This document constitutes a binding legal agreement effective from the date of the last signature.
