- Delivery: All goods and services under this Purchase Order shall be delivered and made fully operational at the Landgericht Frankfurt am Main, Bockenheimer Landstrasse 56, 60323 Frankfurt, Germany, no later than 15 August 2025. The Judge system must be fully installed, tested, and certified for production use by this date.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon successful delivery and installation of the Judge system in Frankfurt, and 20% upon final acceptance and completion of all training sessions. Payment shall be made via bank transfer to the account specified by the supplier. All payments are subject to the German public procurement payment regulations (VgV).
- Warranty: The supplier warrants that the Judge ICMS software and all associated hardware shall be free from defects in material and workmanship for a period of 36 months from the date of final acceptance. Any defects discovered during the warranty period shall be remedied at no additional cost to the buyer.
- Compliance: The Judge system and all components must comply with all applicable German and European data protection regulations, including the GDPR (DSGVO), the German Federal Data Protection Act (BDSG), and the specific requirements of the Hessian Data Protection Act (HDSG). All personal data processed through the Judge platform shall remain within the jurisdiction of Germany.
- Confidentiality: The supplier acknowledges that the Judge system will process highly sensitive judicial data, including case files, witness statements, and court rulings. The supplier shall maintain strict confidentiality in accordance with the German Code of Criminal Procedure (StPO) and shall execute a separate Non-Disclosure Agreement (NDA) prior to any data access.
- Acceptance: Final acceptance of the Judge system shall occur only after a 30-day trial period during which the system operates without critical errors. Acceptance shall be documented in a written protocol signed by the Head of the Procurement Office and the supplier's project manager.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved under the jurisdiction of the competent courts in Frankfurt am Main, Germany. The German Commercial Code (HGB) and the German Civil Code (BGB) shall govern all contractual matters.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, provided that written notice is given within 5 business days. This clause does not relieve the supplier of its obligation to deliver the Judge system within the agreed timeframe unless the force majeure event exceeds 60 consecutive days.
