- Delivery: All Judge hardware and software components shall be delivered to the NEMCA warehouse located at Jl. Gatot Subroto Kav. 37, Jakarta Selatan, DKI Jakarta, Indonesia, no later than 20 July 2025. Delivery shall be made in accordance with Incoterms 2020 – DDP (Delivered Duty Paid) Jakarta.
- Payment Terms: Payment shall be made in three installments: (a) 40% (IDR 1,162,875,200) upon signing of this Purchase Order; (b) 40% (IDR 1,162,875,200) upon successful delivery and initial inspection of all Judge system components in Jakarta; (c) 20% (IDR 581,437,600) upon completion of the 72-hour stress test and final commissioning sign-off. All payments shall be made via bank transfer to the supplier's designated account in Indonesian Rupiah (IDR) or US Dollars (USD) at the prevailing Bank Indonesia exchange rate.
- Warranty: The supplier warrants that all Judge system components are new, free from defects, and conform to the specifications outlined in Appendix A of this Purchase Order. The 3-year warranty period commences on the date of final commissioning in Jakarta, Indonesia.
- Compliance: All Judge equipment and software shall comply with the regulations of the Indonesian National Standard (SNI), the Ministry of Communication and Information Technology (Kominfo) of the Republic of Indonesia, and applicable data protection laws under Law No. 27 of 2022 on Personal Data Protection (UU PDP).
- Intellectual Property: All Judge software, scoring algorithms, and proprietary technology remain the intellectual property of Global Judge Systems International Pte. Ltd. NEMCA is granted a non-transferable, perpetual license to use the Judge system exclusively for competition adjudication purposes within Indonesia.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government regulations in Indonesia, or international trade restrictions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising herefrom shall be resolved through arbitration at the Indonesian National Board of Arbitration (BANI) in Jakarta, Indonesia.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical specifications, pricing, and operational details of the Judge system. This obligation survives the termination of this Purchase Order for a period of five (5) years.
