- Compliance with Judicial Standards: All goods and services procured under this Purchase Order must meet the technical and security standards established by the Italian Ministry of Justice (Ministero della Giustizia) for judicial offices. The supplier warrants that all equipment is suitable for use in a Judge's office within the jurisdiction of Naples, Italy, and complies with the confidentiality requirements of the Italian Code of Criminal Procedure (Codice di Procedura Penale) and the Italian Code of Civil Procedure (Codice di Procedura Civile).
- Delivery and Installation: The supplier shall deliver all items to the Office of the Judge at the Tribunale di Napoli, Via Duomo 20, Naples, Italy, no later than 15 August 2025. Installation and configuration shall be completed within five (5) business days of delivery. All work shall be performed during standard office hours (08:30–17:00) to minimize disruption to the Judge's judicial proceedings.
- Payment: Payment of the full amount of EUR 114,924.00 (one hundred fourteen thousand nine hundred twenty-four euros) shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of confirmed delivery, successful installation, and written acceptance by the Judge's administrative office. No payment shall be due prior to satisfactory completion of all deliverables.
- Warranty: The supplier provides a minimum two-year warranty on all hardware items and a twelve-month warranty on all software and service subscriptions. Any defects or malfunctions discovered during the warranty period shall be repaired or replaced at no additional cost to the Office of the Judge.
- Confidentiality and Data Protection: The supplier acknowledges that the Office of the Judge in Naples, Italy, handles highly sensitive judicial information. The supplier and its personnel shall sign a non-disclosure agreement (NDA) prior to installation and shall comply fully with the General Data Protection Regulation (EU) 2016/679 and Italian implementing legislation (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018). - Penalties for Late Delivery: In the event of delayed delivery beyond the specified date of 15 August 2025, the supplier shall be liable for a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value. Delays exceeding thirty (30) days entitle the Office of the Judge to terminate this Purchase Order without penalty and seek alternative procurement.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Naples, Italy. The parties agree to the exclusive jurisdiction of the Tribunale di Napoli for all legal matters related to this procurement.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, acts of government, or public health emergencies affecting the Naples, Italy region.
