3. DELIVERY AND INSTALLATION
All items specified in this Purchase Order shall be delivered to the Judiciary of Kenya premises located at Upper Hill, Kenya Nairobi, at the address stated above. The supplier shall be responsible for the transportation, insurance, and safe handling of all goods from the point of dispatch to the final delivery location in Kenya Nairobi. Installation of the courtroom audio-visual systems, the Judge's digital terminals, and the Judge's bench units shall be completed within fourteen (14) calendar days of delivery. The supplier shall coordinate with the Chief Registrar's office in Kenya Nairobi to schedule installation at a time that does not disrupt ongoing court proceedings involving the Judge.
4. PAYMENT TERMS
Payment for this Purchase Order shall be made in accordance with the Public Procurement and Asset Disposal Act, 2015 of Kenya. The Buyer shall issue payment within thirty (30) days of receipt of a valid tax invoice and a Certificate of Acceptance signed by the designated receiving officer at the Kenya Nairobi court complex. Payment shall be made via bank transfer to the supplier's designated account. A retention of ten percent (10%) shall be withheld until the completion of a six-month warranty period, after which the balance shall be released. All prices are inclusive of Value Added Tax (VAT) at the prevailing rate of sixteen percent (16%) as applicable in the Republic of Kenya.
5. TERMS AND CONDITIONS
- This Purchase Order is governed by the laws of the Republic of Kenya and shall be interpreted in accordance with Kenyan commercial and procurement legislation.
- The supplier warrants that all items, particularly those designated for the Judge's use, shall be of the highest quality, free from defects in material and workmanship, and shall carry a minimum warranty period of twenty-four (24) months from the date of acceptance.
- The supplier shall comply with all applicable regulations of the Judiciary of Kenya, the Public Procurement Regulatory Authority (PPRA) of Kenya, and the Kenya Revenue Authority regarding the supply of goods to a government entity in Kenya Nairobi.
- Any modification, variation, or amendment to this Purchase Order must be made in writing and signed by both parties. No verbal agreements shall be binding.
- The supplier shall maintain full insurance coverage for all goods in transit to the Kenya Nairobi delivery site. Risk of loss or damage shall remain with the supplier until the goods are formally accepted by the Buyer's receiving officer.
- In the event of a dispute arising from this Purchase Order, the parties shall first attempt to resolve the matter through mediation. Failing resolution within thirty (30) days, the dispute shall be referred to the courts of competent jurisdiction in Kenya Nairobi.
- The supplier shall not subcontract any portion of the work or supply without the prior written consent of the Buyer. All items bearing the Judiciary of Kenya emblem or the title "Judge" shall be manufactured or sourced from approved vendors.
- Confidentiality: The supplier acknowledges that the procurement of items for the Judge's office and courtroom involves sensitive judicial information. The supplier shall maintain strict confidentiality and shall not disclose any details of this Purchase Order to third parties without written authorization.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions in Kenya Nairobi.
6. AUTHORIZATION AND ACCEPTANCE
This Purchase Order is issued under the authority of the Chief Justice of Kenya and the Judicial Service Commission. The undersigned officers hereby authorize the procurement of the above-listed items for the Judge's use in the courts of Kenya Nairobi. The supplier's acceptance of this Purchase Order shall constitute a binding contractual agreement between the parties.
