1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by the Office of the Honorable Judge at the Kathmandu District Court, Nepal, for the procurement of judicial furniture, courtroom technology, administrative equipment, and professional services required to maintain and upgrade the working environment of the Judge. All physical goods specified in this Purchase Order shall be delivered to the Kathmandu District Court premises at Basantapur, Kathmandu, Nepal, no later than 30 July 2025. The supplier shall bear all costs associated with transportation, insurance, and unloading within the Kathmandu metropolitan area. Installation and configuration of all electronic and audio-visual systems shall be completed within five (5) working days of delivery. The Judge's office shall designate a point of contact for receiving and inspecting all items upon arrival. Any item found to be damaged, defective, or non-conforming to the specifications stated in this Purchase Order shall be replaced at the supplier's sole expense within seven (7) calendar days.
4. Payment TermsPayment shall be made in accordance with the following schedule, subject to satisfactory inspection and acceptance by the Honorable Judge or the designated court administrator:
- Advance Payment (30%): NPR 484,092 shall be disbursed within fifteen (15) days of the supplier's submission of a valid Performance Bank Guarantee issued by a commercial bank operating in Nepal, in favor of the Kathmandu District Court.
- Delivery Payment (50%): NPR 806,820 shall be paid within thirty (30) days of successful delivery, installation, and written acceptance by the Judge's office.
- Retention / Final Payment (20%): NPR 322,728 shall be released after the completion of the 90-day defect liability period, provided no unresolved defects remain.
All payments shall be made via bank transfer to the supplier's designated account. The supplier shall issue a valid Tax Invoice and VAT receipt for each payment tranche in compliance with the Inland Revenue Department of Nepal regulations.
5. Terms and Conditions- This Purchase Order is subject to the Public Procurement Act of Nepal (2064/2007) and the Public Procurement Rules (2065/2008). In the event of any conflict between the terms of this document and the Act, the Act shall prevail.
- The supplier warrants that all goods are new, of original manufacture, and free from any encumbrance, lien, or third-party claim. All electronic equipment shall carry a minimum manufacturer's warranty of two (2) years.
- The supplier shall comply with all applicable labor laws of Nepal, including the Labor Act 2074 (2017), and shall not engage in any form of child labor or forced labor in the production or delivery of the goods specified herein.
- Intellectual property rights in all software, firmware, and transcription modules delivered under this Purchase Order shall be licensed to the Kathmandu District Court for perpetual, non-exclusive use within the court's operations.
- The supplier shall maintain confidentiality regarding all case-related data, court proceedings, and internal court information encountered during the course of installation, training, or maintenance. A Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of any on-site work.
- Any dispute arising out of or in connection with this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act of Nepal (2055/1998). The seat of arbitration shall be Kathmandu, and the proceedings shall be conducted in English or Nepali at the discretion of the arbitral tribunal.
- This Purchase Order may be amended only by a written addendum signed by both the Honorable Judge (or authorized court administrator) and the authorized representative of the supplier.
- The supplier shall not subcontract any portion of the work without prior written consent from the Kathmandu District Court administration.
This Purchase Order is issued and authorized by the undersigned on behalf of the Honorable Judge, Kathmandu District Court, Nepal. The supplier's acceptance of this Purchase Order shall constitute a binding agreement to supply all goods and services as specified herein.
