The Seller shall complete the full delivery, installation, and initial configuration of the Judge system at the Zurich Cantonal Court Complex in Switzerland Zurich no later than 31 August 2025. All hardware components listed in this Purchase Order shall be delivered to the specified address in Switzerland Zurich by 15 July 2025. The on-site training sessions shall be conducted between 1 and 5 September 2025 at the training facilities located within the court premises in Switzerland Zurich. The Seller is responsible for all logistics, customs clearance (if applicable for imported components), and insurance of goods in transit to Switzerland Zurich.

Payment for this Purchase Order shall be made in accordance with the following schedule:

1. 30% advance payment (CHF 283,326.39) due within 14 calendar days of the Buyer's written acceptance of this Purchase Order, payable via bank transfer to the Seller's designated account in Switzerland Zurich.
2. 50% milestone payment (CHF 472,210.65) due upon successful delivery and physical installation of all hardware and software components at the Switzerland Zurich delivery location, confirmed by a signed delivery and installation certificate.
3. 20% final payment (CHF 188,884.26) due within 30 calendar days following the completion of the training program and the Buyer's written acceptance that the Judge system is fully operational and meets all specifications outlined in this Purchase Order.

1. This Purchase Order is governed by the laws of the Swiss Confederation and the specific cantonal regulations applicable in Switzerland Zurich. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Switzerland Zurich.
2. The Judge system and all associated intellectual property, source code, and proprietary algorithms remain the exclusive property of LexTech Solutions AG. The Buyer is granted a non-transferable, perpetual license to use the Judge system for official judicial and administrative purposes within the court system of Switzerland Zurich.
3. The Seller warrants that the Judge system shall be free from material defects in design, materials, and workmanship for a period of twenty-four (24) months from the date of final acceptance. During this warranty period, the Seller shall repair or replace any defective components at no additional cost to the Buyer.
4. All data processed by the Judge system within Switzerland Zurich shall be stored exclusively on servers physically located within the Swiss Confederation. The Seller shall comply with the Swiss Federal Act on Data Protection (FADP / DSG) and all applicable cantonal data protection regulations of Switzerland Zurich.
5. The Seller shall provide a dedicated technical support contact based in Switzerland Zurich, available Monday through Friday, 08:00 to 18:00 CET, for the duration of the maintenance period. Critical system failures shall be addressed within four (4) hours of notification.
6. Time is of the essence. Failure by the Seller to meet the delivery and installation deadlines specified in Section 4 shall entitle the Buyer to claim liquidated damages of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value.
7. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements, whether written or oral.
8. Neither party may assign or transfer its rights or obligations under this Purchase Order without the prior written consent of the other party.
