- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey, including the Public Procurement Law (4734) and the Public Procurement Regulation (4735), as applicable to judicial administrative purchases.
- Delivery: All items shall be delivered to the Istanbul Adalet Sarayı, Fatih, 34083 Istanbul, Turkey, at the address specified in Section 1. Delivery shall be made during standard court working hours (08:30–17:30, Monday through Friday). The Supplier is responsible for all transportation, insurance, and handling costs within Istanbul metropolitan boundaries.
- Acceptance: The Judge or a designated court administrator shall inspect all delivered items within five (5) business days of delivery. Any defects, non-conformities, or missing components must be reported in writing to the Supplier. The Supplier shall rectify or replace non-conforming items within ten (10) business days at no additional cost.
- Payment Terms: Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days following written acceptance of all items and services. The total amount due is TRY 353,940.00 (Three Hundred Fifty-Three Thousand Nine Hundred Forty Turkish Lira). Payment is subject to the Supplier providing a valid fatura (invoice) compliant with Turkish tax regulations.
- Warranty: All physical goods carry a minimum two-year manufacturer's warranty. Electronic systems are covered under the comprehensive maintenance contract (Item 8). The warranty period commences on the date of written acceptance.
- Confidentiality: The Supplier acknowledges that all equipment is intended for use in a judicial setting. The Supplier shall not disclose any information regarding the Judge's identity, case assignments, or courtroom operations to any third party. Breach of confidentiality shall result in immediate contract termination and legal action under Turkish law.
- Compliance: All equipment must comply with the technical specifications issued by the HSK (Council of Judges and Prosecutors) and the Ministry of Justice of the Republic of Turkey. The Supplier warrants that all items are new, unused, and free from liens or encumbrances.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved by the competent courts in Istanbul, Turkey. The parties agree to attempt mediation through the Istanbul Arbitration Center (ISTAC) before initiating litigation.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures of court facilities in Istanbul, or acts of war, as defined under Turkish civil law.
- Amendments: This Purchase Order may only be amended in writing, signed by both the Istanbul Metropolitan Court Administration and the Supplier. Verbal agreements are void.
