  1. Delivery: All items listed in this Purchase Order shall be delivered, installed, and made fully operational at the High Court of Uganda, Kampala Division, within the stipulated delivery date of 15 August 2025. The supplier shall bear all costs of transportation, handling, and installation within Uganda Kampala city limits.
  2. Quality Assurance: All furniture and equipment must meet the quality standards prescribed by the Uganda National Bureau of Standards (UNBS). The Judge's Bench, gavel, and robes shall conform to the specific design and material specifications approved by the Chief Justice's Office. Any item found defective upon delivery shall be replaced within seven (7) calendar days at the supplier's sole expense.
  3. Warranty: The supplier shall provide a minimum warranty period of twenty-four (24) months on all furniture, equipment, and electronic devices. The warranty shall cover manufacturing defects, material failures, and workmanship issues. Electronic items shall carry a manufacturer's warranty of not less than thirty-six (36) months.
  4. Payment Terms: Payment shall be made in two tranches: fifty percent (50%) upon successful delivery and inspection of all items at the Uganda Kampala court premises, and the remaining fifty percent (50%) upon final acceptance and sign-off by the Judge's Chamber Procurement Officer. Payment shall be processed via bank transfer to the supplier's designated account within thirty (30) days of invoice submission.
  5. Compliance: The supplier warrants that all goods are free from liens, encumbrances, and third-party claims. The supplier shall comply with all applicable laws of the Republic of Uganda, including the Public Procurement and Disposal of Public Assets Act, 2003, the Uganda Revenue Authority tax regulations, and the Uganda Judiciary Procurement Guidelines.
  6. Confidentiality: The supplier acknowledges that the Judge's Chamber is a sensitive judicial environment. All personnel assigned to the delivery and installation shall undergo a security clearance check and shall sign a non-disclosure agreement prior to accessing the premises in Uganda Kampala.
  7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation under the Uganda Judiciary Dispute Resolution Protocol. Failing mediation, the matter shall be referred to the Commercial Division of the High Court of Uganda, Kampala, for adjudication.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest within Uganda Kampala or the broader Republic of Uganda.
