• Inspection: The Buyer reserves the right to inspect all goods upon delivery. Any non-conforming items shall be rejected and replaced by Judge Industrial Solutions LLC at no additional cost within 10 business days.
• Documentation: Judge shall provide commercial invoice, packing list, bill of lading, certificate of origin, ESMA conformity certificate, and material test reports with each shipment.

• Payment Method: Bank transfer to Judge Industrial Solutions LLC, Emirates NBD, Account No. 002-4567-8901-000345, SWIFT: EMBAEADN.
• Payment Schedule: 30% advance payment (AED 2,352,832.50) within 7 business days of Purchase Order acceptance. 60% (AED 4,705,665.00) upon successful delivery and inspection of all equipment. 10% (AED 784,277.50) upon completion of installation, commissioning, and final acceptance sign-off.
• Payment Currency: All amounts are denominated in United Arab Emirates Dirhams (AED).
• Late Payment: A penalty of 1.5% per month shall apply to any overdue balance, in accordance with UAE Commercial Transactions Law.

• This Purchase Order is governed by and shall be construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and the Dubai International Financial Centre (DIFC) Law where applicable.
• Any disputes arising from this Purchase Order shall be resolved through arbitration in Dubai, United Arab Emirates Dubai, in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
• Judge Industrial Solutions LLC warrants that all goods supplied under this Purchase Order are new, of original manufacture, free from defects, and in full compliance with UAE Standards (UAE.S) and ESMA regulations.
• The Buyer shall not be liable for any indirect, incidental, or consequential damages arising from the performance or non-performance of this Purchase Order.
• This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements.
• Neither party may assign this Purchase Order without the prior written consent of the other party.
• All communications regarding this Purchase Order shall be in writing and directed to the addresses specified in Section 1.
• This Purchase Order is valid for 30 days from the date of issue. Failure to accept within this period shall render this document null and void.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document is executed in two (2) original copies, one for each party, both having equal legal validity in the United Arab Emirates Dubai jurisdiction.
