5.1 This Purchase Order is governed by the laws of England and Wales. Any disputes arising from the supply of goods or services under this order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
5.2 All goods must be new, of first quality, and free from defects. The Judge's bench, desk, and associated furniture must be manufactured to the specifications approved by the Judicial Services Department and must bear the HMCTS quality assurance mark.
5.3 Delivery shall be made to the Birmingham Civil and Family Court, 101 New Street, Birmingham, B2 4AQ, United Kingdom. The supplier is responsible for all transport, insurance, and risk of loss until the goods are received and signed for by the court's facilities manager.
5.4 Payment shall be made by BACS transfer to the supplier's nominated account within thirty (30) calendar days of receipt of a valid tax invoice, provided that all goods and services have been delivered, installed, and accepted in accordance with this Purchase Order.
5.5 The supplier warrants that all electronic equipment shall be fully compatible with the HMCTS e-Justice platform and the existing network infrastructure at the Birmingham court. Non-compatibility discovered after installation shall be rectified at the supplier's sole cost.
5.6 The supplier shall comply with all applicable data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 in respect of any personal data processed during the delivery and installation process.
5.7 This Purchase Order may not be assigned or sub-contracted without the prior written consent of the Purchasing Authority. Any breach of this clause shall constitute grounds for immediate termination.
