4. Terms and Conditions

  1. This Purchase Order is governed by the laws of the State of New York and the procurement regulations of the United States New York City municipal government. All disputes arising from this Purchase Order shall be resolved in the courts of New York County, United States New York City.
  2. The vendor acknowledges that all goods and services procured under this Purchase Order are intended for the exclusive use of a Judge within the United States New York City judicial system and shall be handled with the utmost confidentiality and security.
  3. Delivery of all items shall be made to the Thurgood E. Marshall United States Courthouse, 40 Foley Square, New York, NY 10007, United States New York City, between the hours of 8:00 AM and 4:00 PM, Monday through Friday, excluding federal and New York State holidays.
  4. The vendor shall provide a minimum of 30 days' written notice prior to any proposed change in pricing, delivery schedule, or product specifications. No changes to this Purchase Order shall be effective without written authorization from the Chief Administrative Judge's office.
  5. All electronic equipment must comply with Federal Information Processing Standards (FIPS) 140-2 encryption requirements and New York State cybersecurity mandates for judicial records maintained in the United States New York City court system.
  6. The vendor warrants that all goods are new, free from defects, and conform to the specifications provided. The Judge's office reserves the right to reject any item that does not meet the stated requirements, and the vendor shall replace rejected items within 10 business days at no additional cost.
  7. Payment shall be processed by the New York State Comptroller's office within 45 days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under New York State General Obligations Law.
  8. The vendor shall maintain adequate insurance coverage, including general liability, product liability, and workers' compensation, throughout the duration of this Purchase Order and for a period of two years following final delivery.
  9. This Purchase Order may be terminated by either party with 30 days' written notice. In the event of termination, the vendor shall be compensated for all goods delivered and services rendered up to the date of termination.
  10. All records, correspondence, and documentation related to this Purchase Order shall be maintained in accordance with the New York State Public Records Law and the retention schedules established for the United States New York City court system.

5. Authorization and Signatures

This Purchase Order is hereby authorized and approved for execution. The undersigned represent that they have the legal authority to bind the respective parties to the terms and conditions set forth herein.
